On October 28, PROG Holdings announced its intention to enter into an agreement to repurchase $100 million of its common stock, with transactions to be completed during the first quarter of 2027. The company said in a subsequent filing that it entered into the agreement on October 29 with Bank of America and paid $100 million for the initial delivery of shares. The agreement is an accelerated share repurchase, and the final number of shares may be determined at settlement. CEO Steve Michaels said cash flow generation gives the company the flexibility to return capital to shareholders while maintaining growth investments. He added that the announcement reflects confidence in the company’s long-term strategy.

Alongside the announcement, the board expanded the existing share repurchase authorization by $237 million, bringing the total available for future purchases to $500 million. This authorization covers a broader framework than the $100 million accelerated share repurchase agreement, allowing the company to make other purchases within the program limit. The board extended the program until the earlier of October 26, 2029, or the date total purchases reach $500 million. Purchases may be made in the open market, through tender offers or under accelerated share repurchase agreements. The plan therefore combines a specific agreement with a bank and a broader authorization for future purchases.

Third-quarter results showed a stronger operating picture than in the same period a year earlier: consolidated revenue was $725.8 million, up 25.6%, while net earnings from continuing operations rose to $37.5 million from $32.3 million. Diluted earnings per share from continuing operations were $0.92, compared with $0.80 in the third quarter of 2025. On a non-GAAP basis, earnings per share were $1.06, up 21.8% year over year. These figures came in the same quarter in which the company announced its intention to repurchase shares, but they did not prevent it from lowering its full-year outlook. The company attributed the outlook cut to macroeconomic pressures facing its consumers.

PROG lowered its 2026 revenue guidance to $3.015–$3.050 billion, from a previous range of $3.025–$3.100 billion. It also narrowed its adjusted EBITDA guidance to $345–$355 million, from $355–$375 million. The company said its assumptions include current financial pressures continuing and no material increase in unemployment among its customer base. The revision places the guidance cut alongside the revenue and earnings growth recorded in the third quarter, while management remains cautious about the remaining months of the year. The company said consumer pressures were behind the reductions to its revenue and earnings ranges.

The company had already repurchased $36.7 million of shares during the third quarter, at an average price of $41.47 per share. PROG ended the quarter on September 30 with $108.9 million in cash and total debt of $872.0 million. In its quarterly filing, it said it intended to fund the accelerated share repurchase program with available cash and borrowings under its revolving credit facility. In the nine months ended September 30, the company repurchased 1.165 million shares for $46.9 million. It also said it had reduced total debt by $326.6 million since acquiring Purchasing Power.

The stock’s moves were reflected in successive closes during the week: PRG closed at $30.88 on October 28, then at $33.48 on October 29 and $34.75 on October 30. It had closed at $29.48 on October 26 and $29.61 on October 27. As for settlement, the company said its 2026 non-GAAP earnings-per-share outlook assumes the initial delivery of approximately 80% of the targeted shares and excludes any additional shares that may be delivered at final settlement. Transactions under the agreement are expected to be completed during the first quarter of 2027, while the broader repurchase authorization remains in effect until its limit is reached or the specified date in 2029.
