PROG Holdings said it intends to enter into an accelerated repurchase agreement for $100 million of its common stock, with transactions expected to be completed in the first quarter of 2027, according to a company statement cited by Investing.com on October 28, 2026. At the same time, the board increased the amount available for future purchases by $237 million, bringing the total authorization to $500 million. The board also extended the program through October 26, 2029, or until the company’s purchases reach $500 million, whichever comes first. The decision combines a fixed-value accelerated transaction with expanded capacity for subsequent purchases under the program. Chief Executive Steve Michaels said the announcement reflects "our continued confidence in PROG’s long-term strategy and the momentum we see across our product ecosystem."

The program allows purchases through open-market transactions, tender offers, 10b5-1 trading plans or accelerated repurchase programs, according to the company statement. The timing and number of shares purchased depend on market conditions and other factors, meaning the announcement does not set an immediate date for share purchases outside the expected timeframe for the accelerated agreement. The company repurchased $10.2 million of shares in the second quarter of 2026, at an average of $36.37 a share. The remaining capacity under its $500 million program at the time was $299.4 million. In the first quarter of the same year, the company made no share purchases, according to its quarterly results.

The expanded authorization comes after PROG Holdings reduced net leverage to about 1.7 times at the end of the second quarter of 2026, from about 2.5 times following its acquisition of Purchasing Power. The company said it used cash flow to repay debt, bringing its leverage ratio within its target range of 1.5 to 2.0 times. It ended the quarter with $85.2 million in cash and total debt of $893.7 million, and repaid $50 million of acquisition-related debt during the quarter. In the first quarter, it had reported reducing debt related to the deal by $254.9 million since its completion. These figures provide financial context for the capital return announcement after the company made progress in reducing debt and returning to its target leverage range.

Consolidated revenue in the second quarter of 2026 was about $719.7 million, up 22.3% year over year, while net income from continuing operations was $37.4 million, compared with $37.6 million a year earlier. In the first quarter, revenue rose 11.1% to $742.7 million, and net income from continuing operations increased to $36.2 million from $34.6 million in the comparable period. Consolidated gross merchandise volume in the first quarter rose 54.4% to $805.6 million. Performance varied by product: Progressive Leasing volume fell 2.2% to $393 million, while Four volume rose 133.6% to $280 million. The company said its portfolio includes Progressive Leasing, Four Technologies, MoneyApp and Purchasing Power, and operates in lease-to-own, buy now, pay later, cash advances and employee purchase benefits.

The company’s shares, listed under the ticker PRG, closed at $29.61 on October 27, 2026, compared with $29.48 in the previous session, according to EL7 data. The closing price came ahead of the quarterly results announcement scheduled for the following day and, on its own, does not include details of the stock’s intraday movement. In July, the company forecast fiscal 2026 revenue of between $3.025 billion and $3.1 billion. It also projected diluted earnings per share from continuing operations, on a non-GAAP basis, of between $4.75 and $5. In its third-quarter outlook, it said it assumed continued financial pressure and uncertainty facing customers, without a meaningful increase in unemployment across its consumer base.

PROG Holdings was scheduled to report third-quarter 2026 results before the market opened on October 28 and hold a live webcast to discuss them at 8:30 a.m. Eastern Time. The timing gives investors access to the company’s latest operating performance following its July outlook and any updates to that forecast. The company continues to expect to complete transactions under the accelerated repurchase agreement in the first quarter of 2027. The broader purchase authorization runs through October 26, 2029, and ends earlier if total purchases reach $500 million. The methods and timing of purchases, as well as the number of shares bought, remain subject to market conditions and the other factors identified by the company.
