Talen Sells $1.5 Billion in Capacity Rights to Fund Share Buyback
Key Facts
Talen Energy completed an agreement on October 1 to sell rights to future cash flows from PJM capacity for approximately $1.5 billion, and used $1.3 billion in net proceeds to fund an accelerated share repurchase program. The rights cover the 2027/2028 and 2028/2029 capacity years, meaning the company brought forward part of its contracted future cash flows. The accelerated share repurchase is valued at $1.5 billion, according to the company’s third-quarter earnings release. In September, the board raised the total remaining capacity of its buyback program to $3 billion. The company said the accelerated program is part of its existing buyback program.
The company received and retired about 3.8 million shares on October 1, equivalent to 80% of the accelerated program’s total value. A large portion of the buyback was therefore executed when the agreement began, while final settlement is expected no later than the first quarter of 2027. These steps put a $1.5 billion accelerated program in shareholders’ hands, funded by net proceeds from the sale of future cash-flow rights and available cash. The value of the rights sold, about $1.5 billion, differs from the net proceeds the company said were used to fund the program, which amounted to $1.3 billion. The total remaining capacity of the buyback program after September’s decision is $3 billion.
The announcement came as third-quarter results showed a mixed picture across profitability, cash flow and net income. Net income attributable to shareholders was $138 million, compared with $207 million in the same period of 2025. Adjusted EBITDA, by contrast, rose to $669 million from $363 million a year earlier. Adjusted free cash flow was also $433 million, compared with $223 million in the third quarter of 2025. Both adjusted metrics therefore increased year over year, while net income attributable to shareholders declined.
Investing.com reported that Talen shares rose 3.01% in premarket trading following the earnings announcement. The site attributed a 2.11% gain to the announcement of 2027 guidance, which came in above analysts’ expectations, according to the report. The company gave a range for 2027 adjusted EBITDA of between $2,500 million and $2,850 million. It also forecast adjusted free cash flow of between $1,500 million and $1,750 million. At the midpoints, the ranges represent growth of about 26% and 27%, respectively, compared with 2026 guidance.
Chief Executive Mac McFarland said the 2027 guidance “reflects strong fundamentals in PJM and a full year of contribution from the assets we recently acquired.” The company ties its outlook to market factors and contributions from acquired assets, while the capacity rights it sold extend through the 2027/2028 and 2028/2029 years. Final settlement of the accelerated buyback remains expected by the first quarter of 2027. This means the program began with the receipt and retirement of about 3.8 million shares on October 1, with final settlement still to come. The published guidance for next year sets a new financial framework for the company following its third-quarter results.
