AVID offer reaches A$5.50 per security after matching Warburg proposal
Key Facts
Ingenia Communities said on 2 November 2026 that AVID had exercised its matching right and increased its non-binding acquisition proposal, bringing the potential cash consideration for securityholders to A$5.50 per security. The revised proposal comprises A$5.45 in cash, plus a permitted distribution of up to A$0.05, matching the terms of the latest proposal from Warburg Pincus. Ingenia said its board had determined in good faith that AVID’s revised proposal offered an outcome equal to or better than Warburg’s latest proposal for securityholders as a whole. This did not mean the board had deemed the proposal a superior offer under the scheme implementation deed with PEET. Nor did the board say it intended to recommend it, and the proposals remain non-binding.
AVID’s revision followed an increase in its original proposal from A$5.35 to A$5.45 per security. Warburg’s offer had also risen to A$5.45 per security, after adding 10 cents to its previous offer. The A$5.50 figure therefore represents the total potential consideration when the permitted distribution is included, rather than a base cash amount of that size per security. AVID’s revised proposal specifies A$5.45 in cash per security before the distribution is added. The current competition between the parties centres on the terms to be put to Ingenia securityholders, while the company continues to assess the proposals.
After AVID exercised its matching right, its process agreement with Ingenia remained in force, while the company ended Warburg Pincus’s access to due diligence. This changes the course of negotiations between the parties for now: AVID’s process continues, while Warburg no longer has the same access to information needed for due diligence. Ingenia said its board had not determined that AVID’s revised proposal constituted a superior offer under the scheme implementation deed with PEET. The board also did not indicate that it intended to recommend AVID’s proposal. The company said it continued to work towards completing the proposed acquisition of PEET.
The next step depends on Ingenia’s assessment of the proposals and whether any of them becomes a formal binding offer. Capital Brief quoted its source as saying, "There is no guarantee that the revised proposal will lead to a formal binding offer." Ingenia said it would continue to assess the acquisition proposals, without specifying in its announcement when it would decide its position. The investor relations page shows that the company reports its financial results twice a year: full-year results for the period ended 30 June, and half-year results for the period ended 31 December. Ingenia also listed its 2026 annual general meeting for 18 November, a date shown on the company’s calendar.
