Ingenia Grants AVID Six Weeks of Exclusivity for Offer of Up to A$5.40 per Security
Key Facts
Ingenia Communities has granted AVID Group a flexible exclusivity period of up to 6 weeks to continue examining its acquisition proposal, after receiving it after market close on 23 October and announcing it on 26 October. AVID is offering A$5.35 in cash for each security, with a permitted distribution of up to A$0.05 for the half-year ending 31 December 2026, bringing the total consideration to A$5.40 per unit. The company said the proposal is fully funded and does not include a financing condition. Ingenia also granted AVID exclusivity and ended Warburg Pincus’s access to its due diligence data room. The new proposal puts it in competition with the existing Biet transaction, without resolving Ingenia’s final position on either one.
AVID’s offer remains conditional on satisfactory completion of due diligence, a unanimous recommendation from Ingenia’s board and execution of a transaction implementation agreement. The proposal also requires approval from AVID’s board and its investment committee, and termination of the Biet transaction implementation agreement. Conditions include customary regulatory approvals, including approval from Australia’s Foreign Investment Review Board and the Australian Competition and Consumer Commission. Ingenia said its board had not declared AVID’s proposal superior to the Biet transaction and had not recommended it at this stage. Exclusivity therefore does not constitute approval of the acquisition or a commitment to complete it, while the company continues to operate under its existing agreement with Biet.
The terms of the Biet agreement also include a potential cost for terminating it in specified circumstances. If Ingenia terminates the agreement after its board determines that a competing proposal represents a superior offer to the bidder, Biet is entitled to a A$10 million reverse termination fee under the transaction implementation agreement. This does not apply to every change in the transaction path, but to the circumstances tied to the board’s decision and the specific conditions in the agreement. The clause makes a decision to move from the Biet transaction to a competing offer dependent on the board’s assessment and contractual obligations. Ingenia has not, however, announced that it has made that decision regarding AVID’s proposal.
AVID’s proposal came after weeks of negotiations with Warburg Pincus. Warburg had raised its offer to A$5.25 per security in September, following two earlier proposals at A$4.75 and A$5.05. On 20 October, Ingenia announced an extension of discussions with Warburg and granted it comprehensive due diligence access, targeting a process agreement by 23 October. The company warned at the time that reaching a binding offer was uncertain. AVID’s proposal then arrived after market close on 23 October, and the process agreement with AVID ended Warburg’s access to the data room.
Ingenia shares rose 9% during trading on 20 October after the company announced an extension of talks with Warburg and opened its books for due diligence. The move followed Warburg’s improved offer of A$5.25 per unit, while the possibility of a formal binding offer remained uncertain at the time. The available facts do not provide any subsequent share-price movement after AVID’s proposal was announced on 26 October. The Biet transaction, meanwhile, implies total consideration of A$2.185 per Biet share, including its distribution for the second half of 2026. Biet said this represented a 21% premium to its closing share price on 21 August and a 22% premium to its 10-day volume-weighted average price through that date.
AVID is due to provide written confirmations about its proposal on 13 November and 30 November, under the agreed process timetable. Ingenia’s annual general meeting is scheduled for 18 November 2026 at 11:30 a.m. in Sydney, between AVID’s two confirmation dates. For the Biet transaction, the transaction booklet was expected to be sent to shareholders in early November, with the transaction vote scheduled for early December 2026. AVID’s due diligence findings, Ingenia’s board position and regulatory decisions remain necessary before the proposal could move to a binding agreement. The Biet process continues in parallel unless the agreement changes under its terms or its announced steps are completed.
