INVE Technologies Revises Third-Quarter Results to Loss of Up to $1.3 Million
Key Facts
On October 30, INVE Technologies revised its preliminary unaudited results for the third quarter ended September 30, 2026, after issuing its earlier estimates on October 21. The company said in a statement carried by Nasdaq that previously forecast net income of $0.4 million to $0.8 million had turned into a net loss of $1.1 million to $1.3 million. Its estimates also shifted from earnings per share of $0.01 to $0.02 to a loss per share of $0.05 to $0.06. The revision sets a new negative range for quarterly results, while the figures remain preliminary and unaudited. The company attributed the review to adjustments related to the sale of its Internet of Things business assets and the post-closing acceptance of certain customer contracts.
The company cited two reasons for the revision: working capital adjustments and the post-closing acceptance of certain customer contracts. Its statement said the change resulted “specifically from working capital adjustments and the acceptance of certain customer contracts after closing.” The adjustments followed the closing of the asset sale to Trackonomy Systems, linking the estimate review to the transaction and its aftermath. The company did not disclose a similar change to its revenue and gross margin ranges for the quarter. The announced revision therefore focuses on estimates for net income and earnings per share, alongside the effects of sale-related adjustments and contract acceptance.
INVE said its forecast cash balance at September 30 remained $87.1 million, unchanged from its previous estimate. It also kept its quarterly revenue forecast at $2.9 million to $3.1 million and gross margin at 18% to 19%, the ranges it announced on October 21. These figures distinguish the revision to its profit and loss estimates from other operating items the company said had not changed. In August, management had set a third-quarter revenue range of $4.1 million to $4.8 million, before accounting for the closing of the asset sale. That pre-transaction guidance differs from the October estimate of $2.9 million to $3.1 million, while the disclosure attributed the gap to no additional reason beyond the transaction context.
The company completed the sale of its Internet of Things business assets to Trackonomy Systems on September 15, 2026. The transaction included most of the company’s operating assets and $25 million in cash, with the buyer assuming certain business-related liabilities. INVE said it received Trackonomy preferred shares valued at $50 million at closing, subject to a post-closing adjustment. Following the sale, the company said it would focus on building a physical artificial intelligence software-as-a-service business, relying on targeted acquisitions of compliance software companies. Chairman James Ousley said when announcing the shift that the company saw its strategic redirection as “a clear and scalable path to future growth.”
The revised results remain preliminary estimates that may change as the financial close and review of interim statements are completed. The company said its independent registered public accounting firm “does not express an opinion or any other form of assurance” on the preliminary results. The revised figures therefore are not final, and completion of the closing and review procedures remains part of the quarterly reporting process. The company had expected to publish final full third-quarter results on or around November 12, 2026. That date is the next disclosure milestone, when figures can be presented after the procedures are completed.
The results revision coincides with the share repurchase offer the company launched on October 21 through a modified Dutch auction. The offer allows the company to buy shares for cash worth up to $20 million, at a price range of $2.85 to $3.40 per share. According to the company’s disclosure, a purchase at the maximum amount could represent about 24.7% to 29.4% of shares issued and outstanding, depending on the final purchase price. The offer is scheduled to expire on November 19, 2026, unless extended or terminated earlier. These dates place the repurchase offer after the expected November 12 announcement of final results.
