India Approves Merger of Emirates NBD Branches with RBL Effective December 1
Key Facts
The Reserve Bank of India approved the merger of Emirates NBD’s branches in India with RBL Bank on October 16, effective December 1, 2026. Under the arrangement, all of the UAE bank’s branches in India will operate as branches of RBL Bank. The central bank said that “all Indian branches of Emirates NBD will operate as branches of RBL Bank” from that date. The decision sets a timetable for integrating the branch network into the Indian lender’s operations, months after the investment in RBL was completed. The central bank’s approval was based on its powers under Section 44A(4) of the Banking Regulation Act, 1949.
Emirates NBD completed an initial investment of about $2.75 billion, or approximately 260 billion rupees, in RBL on June 18, 2026. The bank said the investment was made through a preferential share issue, and that it also completed a mandatory offer to RBL’s public shareholders under applicable regulations. After the transaction, Emirates NBD held 60% of the Indian lender’s expanded capital. This means the branch merger decision is a subsequent phase of the investment deal, rather than a new completion of the acquisition. Emirates NBD said the investment builds on RBL’s platform and supports its next phase of expansion.
The Competition Commission of India had approved the proposed transaction structure in January 2026, including the merger of Emirates NBD’s banking operations in India with RBL on a going-concern basis. The UAE bank’s Indian operations were conducted through a network of 3 branches, according to the commission’s statement published on January 20. In May, Emirates NBD said the integration of those operations into RBL was an anticipated step in the transaction, subject to the necessary regulatory approvals. It then identified the Mumbai, Chennai and Gurugram branches as the operations to be merged. The Reserve Bank of India’s approval completed the regulatory clearance still required for the step.
Emirates NBD described the partnership as combining its regional banking expertise and network with RBL’s presence in India, comprehensive banking products and extensive distribution network. The bank said the capital injection was “expected to strengthen RBL’s balance sheet, improve capital adequacy and support its long-term growth strategy.” Its chief executive also said the partnership enhances the ability to serve customers across markets and enables growth in corporate, consumer and digital banking. In its first-half 2026 results announcement, Emirates NBD said the acquisition of RBL added assets worth 74 billion dirhams, gross loans of 44 billion dirhams and deposits of 43 billion dirhams to the group. The bank linked these additions to RBL’s inclusion in the group during the period.
The terms of the Reserve Bank of India’s approval classify RBL as a foreign bank operating under a subsidiary model, with Emirates NBD treated as the parent bank. The investor was also exempted from the requirement to maintain a presence through a single mode until its Indian branches are merged into RBL or one year has elapsed from the date of the approval letter, whichever is earlier. This condition sets a timetable tied to completion of the merger or expiry of the period, while December 1 sets the announced date on which it takes effect. From that date, Emirates NBD’s Indian branches will become part of RBL’s network under the central bank’s decision. The branch transfer follows the June investment, which gave the UAE bank a majority stake in the Indian lender.
