India selects Fairfax to buy 60.72% of IDBI Bank
Key Facts
The Indian government has selected a wholly owned subsidiary of Fairfax Financial as the strategic buyer for a 60.72% stake in IDBI Bank, according to a joint statement from Fairfax Financial and Fairfax India. The proposed total consideration is about 528.78 billion rupees, equivalent to about $5.6 billion. Fairfax announced its selection on October 14, 2026, as part of a process to sell a majority stake in the bank owned by the government and Life Insurance Corporation of India. But the company stressed that its selection did not represent the final stage of the sale process. It said none of the parties had signed definitive binding agreements for the stake purchase or the proposed contributions to the bank at the time of the announcement.
India's finance ministry set the winning bid price at 81 rupees per share, above the benchmark price used to assess bids. That benchmark was 75.99 rupees per share, calculated as the average of two independent valuations, according to the government statement. The valuation used the market multiples and asset valuation approaches, according to clarifications published by the ministry on the sale. In the previous initial bidding round, the minimum price had been higher, at 94.42 rupees per share. Bids submitted in that round were not accepted because they fell below the stipulated minimum, according to the ministry.
The stake sale is split between the Indian government and Life Insurance Corporation of India, under the structure announced by the finance ministry. The government will sell a 30.48% stake in the bank, while the insurer will sell 30.24%. After the sale is completed, the government will retain a residual holding of 15%, according to government clarifications on the transaction. Life Insurance Corporation will retain a 19% stake, with its representatives and those of the government withdrawing from the bank's board. Both entities will become public shareholders under the announced arrangements, which combine the sale of a majority stake with the retention of their residual holdings.
The sale process dates back to October 7, 2022, when a memorandum inviting investors to express interest was issued, according to India's finance ministry. The bank's restructuring followed financial weakness and struggles with bad loans and losses. That required capital injections from the government, followed by Life Insurance Corporation, according to the government statement. The government says it expects the buyer to bring private capital, new technology and better management practices. These changes aim to strengthen the bank's ability to compete in lending and deposits, according to the ministry's clarifications on the objectives of the sale.
Fairfax proposes to transfer its interests in Go Digit Life Insurance and Go Digit General Insurance to the bank. The plan also includes transferring Fairfax India's interest in IIFL Capital, with the aim of building a group combining banking, insurance and wealth management. Reuters places the deal within a wave of foreign investment in Indian financial institutions, including Emirates NBD's investment in RBL Bank. In trading on Thursday, October 15, 2026, IDBI shares fell 6.6%, according to the agency's coverage the day after the announcement. Aishvarya Dadheech, founder and chief investment officer at Fident Asset Management, described the decline as "just profit-taking", while viewing the news as positive for the bank.
On financing, Fairfax intends to use a combination of cash on hand and existing credit facilities to fund the stake purchase. Proposed funding sources also include potential asset sales, according to the company's statement on the offer. The buyer must submit its documentation to the Reserve Bank of India, under the steps announced by the finance ministry to complete the sale process. It must also submit a roadmap for compliance with the regulatory conditions attached to the transaction. Fairfax had scheduled a conference call for October 15, 2026, to discuss the purchase and the proposed contributions to the bank.
