India Selects Fairfax to Buy 60.72% of IDBI Bank

Key Facts
India's Cabinet Committee on Economic Affairs approved the selection of a Fairfax Financial subsidiary as the strategic buyer of a controlling stake in IDBI Bank on 14 October 2026. The stake on offer amounts to 60.72% of the bank's shares, according to a statement from India's finance ministry, as part of a partial sale of the holdings of the government and Life Insurance Corporation of India. Fairfax said the proposed purchase consideration was about 528.78 billion rupees, equivalent to approximately $5.6 billion. The government's selection paves the way for control of the bank to pass to the strategic buyer, with both sellers retaining shareholdings. However, Fairfax said in its statement that there were "no definitive binding agreements" for the stake purchase or the proposed asset contributions.
According to the finance ministry, the shares offered for sale comprise a government stake of 30.48% and a Life Insurance Corporation stake of 30.24% in the bank. The government will retain a 15% stake after the transaction closes, remaining a shareholder after control changes hands. Life Insurance Corporation will also retain a 19% stake, rather than exiting its investment entirely. The proposed changes extend to the two sellers' representation in the bank's management, as they will withdraw their nominees from the board, according to the official questions and answers published on the transaction. They will become public shareholders, coupling the partial sale with a change in their status within the shareholding and governance structure.
Fairfax is offering 81 rupees per share, according to Reuters, exceeding the benchmark the government used to accept bids in the winning round. The average of independent valuations set that benchmark at 75.99 rupees per share, according to the Indian finance ministry's statement. Initial bids were rejected because they fell short of the previous reserve price of 94.42 rupees per share. The winning bid was therefore above the benchmark adopted for the new round and below the level required in the first round. The ministry said the valuation was based on market multiples and asset valuation approaches, rather than the volatile stock market price.
Fairfax proposes to transfer all of Fairfax Financial's interests in Go Digit Life Insurance and Go Digit General Insurance to the bank. The plan also includes contributing Fairfax India's interest in IIFL Capital, according to the companies' joint statement. The proposed asset transfers aim to build a financial group combining banking, insurance and wealth management under the bank's umbrella. To fund the stake purchase, Fairfax expects to use cash on hand and existing credit facilities, alongside potential asset sales. Bloomberg places the move within a wave of expansion by foreign institutions into Indian financial services, driven by a growing wealthy population and economic growth.
On the stock market, IDBI Bank shares closed at 90.44 rupees in the session on the day the transaction was announced, according to Reuters. The shares rose 9% during that session, while the government announcement came after trading closed. The closing price was above Fairfax's offer price for the controlling stake in the bank. Regarding its other banking investments, Fairfax must merge or divest its 40% stake in CSB Bank, according to a Department of Investment and Public Asset Management official cited by Bloomberg. The two-year deadline for meeting this requirement begins when the share purchase agreement is signed.
The buyer's next step is to submit its credentials to the Reserve Bank of India, according to the finance ministry's official clarifications on the transaction process. This includes submitting a roadmap for compliance with regulatory conditions tied to the proposed transaction. Fairfax had scheduled a call for 15 October 2026 to discuss the stake purchase and asset contributions. The company set the call for 8:30 a.m. Eastern Time, according to its statement announcing its selection as strategic buyer. The announced discussion agenda covered both the proposed investment in the bank and the plan to transfer interests in insurance and financial services companies to it.
