Geovax Ends Dodd’s CEO Role, Keeps Him as Board Chair
Key Facts
Geovax terminated David A. Dodd as president and chief executive officer on November 5, 2026, effective immediately, according to a company filing. It said the board based its classification of the termination as “for cause” on Dodd’s refusal to comply with directives approved by the board. But the filing said no court or arbitrator had determined whether cause existed under the employment agreement. Dodd may challenge the board’s decision and seek benefits for a termination without cause. Dodd remained a board member and its chairman after leaving the executive role, making the change limited to his position in executive management.
Geovax said it does not intend to pay the termination compensation or benefits specified in the agreement in the event of termination without cause or Dodd’s resignation for good reason. These benefits include a cash payment equal to three times his base salary and target annual bonus at the time of termination. They also include full vesting of his stock options. Under the incentive plans and award agreements, an employee’s options generally expire upon termination for cause, whether vested or unvested, as determined by the plan administrator. Regardless of the reason for termination, Dodd remains entitled to any unpaid deferred compensation for his service, as well as amounts due for services and expenses incurred before termination.
If a competent authority later concludes that Dodd’s termination was not for cause, the company may have to pay the compensation and benefits it excluded, including a cash amount equal to three times his base salary and target annual bonus. This could also include accelerated vesting of all his options, along with additional costs and expenses. The company listed the possibility that Dodd could challenge the decision or pursue litigation or arbitration among the risk factors related to the matter. It also cited the possibility of legal or settlement costs, as well as risks involving reputation or management transition. The filing did not say whether Dodd would appeal the board’s decision.
Geovax confirmed that Dodd’s termination was unrelated to the company’s business operations, financial results or previously filed financial statements. Chief Financial Officer Mark W. Reynolds signed the filing on November 6, 2026. The company’s shares, trading under the ticker GOVX, closed at $0.1579 in that day’s session. The previous close was $0.158 on November 5, while the data showed a daily decline of 0.06% on November 6. The filing did not report the session’s high and low prices.
The executive role change comes as the company faces funding needs related to its programs, according to a registration statement it filed. It recorded a net loss of about $21.5 million in 2025 and about $9.7 million in the first half of 2026. Its cash balance was about $3.1 million on June 30, 2026, the same level recorded on December 31, 2025. The company said new funding would be required and that the net proceeds from the offering and existing cash might not be enough to start its planned Phase 3 trial for the vaccine or fund it through completion. These figures appeared in previous filings, while the company said Dodd’s termination was unrelated to its results or financial statements.
Geovax plans to begin a pivotal Phase 3 trial of its mpox and smallpox vaccine in the fourth quarter of 2026, according to its registration statement. It said a planned comparative immunogenicity study would be conducted at European sites and would target enrollment of 500 healthy adults. The company said results are expected by mid-2027. In connection with its funding, the company entered into a revolving credit facility on October 25, 2026, allowing it to borrow up to $1 million outstanding at any time, at an annual interest rate of 12%, but said it had not borrowed under the facility as of the date of the registration statement. It also said a government contract to support another vaccine was halted after it received notice on April 11, 2025, to stop work and terminate the contract for the convenience of the government.
