Coca-Cola Files Prospectus to Sell 997.5 Million Shares in Indian Bottling Arm
Key Facts
Hindustan Coca-Cola Holdings, the parent of bottling arm Hindustan Coca-Cola Beverages, filed a draft prospectus for an initial public offering with India’s Securities and Exchange Board, moving plans to list the unit into the regulatory process. The draft offers up to 997.5 million shares, with a face value of 10 Indian rupees per share, Business Standard reported. The transaction is a sale of existing shares by a current shareholder, not a new issuance that would inject proceeds into the company. All proceeds from the offering will go to the selling shareholder, according to the report. The prospectus did not disclose a price range for the shares, Reuters reported, so the value of the proposed sale has not yet been determined.
Ownership would shift if the sale proceeds at the proposed size, with Hindustan Coca-Cola Overseas Holdings’ stake expected to fall from 60% to about 45%. Jubilant Beverages, which owns the remaining 40%, is not selling shares in the offering, Reuters reported. The listing would therefore allow part of the selling shareholder’s stake to be traded while it retains a substantial holding in the company. The sale proceeds will not provide new funding for the bottler’s operations, as they will go to the selling shareholder. The filing follows Coca-Cola’s announcement in June that it was exploring a potential listing of the parent of its largest bottler in India.
The financial figures show a contrast between annual performance and the latest quarter available in the prospectus. The company recorded revenue from operations of 11,663.24 crore rupees in fiscal 2026, compared with 12,869.54 crore in fiscal 2025, a year-on-year decline of 9%, Business Standard reported. In the quarter ended June 2026, revenue from operations rose 17% to 4,310.17 crore rupees, the newspaper reported. But profit attributable to shareholders in the April-to-June 2026 quarter was 408.454 crore rupees, compared with 1,054.4 crore in the same period a year earlier. The company said its business and operations were affected by a multi-year franchise realignment, according to the report.
The prospectus data also reflect the company’s scale in India’s beverage market, with market shares attributed by the company to its business. It said its share was 37.2% across the carbonated soft drinks and packaged drinking water categories, rising to 60.1% in carbonated soft drinks, Business Standard reported. Hindustan Coca-Cola Holdings also said it was the largest Coca-Cola bottler in the company’s system in India by concentrate volumes sold. The regions it serves accounted for 38.53% of Coca-Cola India’s concentrate sales in fiscal 2026, according to the prospectus as cited by the newspaper. These figures define the company’s market footprint, while its annual revenue declined in the same fiscal year.
Coca-Cola announced in June 2026 that it was considering a potential listing of its Indian bottling arm, saying the parent would remain an investor and focus on growing its global and local brands. The company said at the time: "The Coca-Cola Company will remain invested in this important bottler, focused on growing our portfolio of global and local brands in India." That month, the targeted timing for the listing was 2027, subject to market conditions and regulatory approvals, Reuters reported. June reports said the unit operates 14 bottling plants across 10 Indian states. 2027 remains the timing announced by the company for the potential listing, while the draft filing alone does not set a final date for completing the offering.
The move comes as parent-company data showed stronger bottling volumes in the third quarter of 2026. Coca-Cola said unit case volume in its Bottling Investments operating unit rose 8%, driven mainly by growth in India and South Africa. The company did not specify in its available announcement how much India alone contributed to the growth. In the markets, Coca-Cola shares, listed under the ticker KO, closed at 95.67 dollars on November 6, 2026, the latest close included in the accompanying market data. That price alone does not indicate the market’s response to the filing on the day the draft was submitted.
