Spain’s National Commission on Markets and Competition (CNMC) said on November 5, 2026, that it had opened sanctioning proceedings against Lyntia Networks over a possible breach of obligations tied to its purchase of rights to use optical fiber owned by Iberdrola subsidiaries. The proceedings target Lyntia as the buyer of the rights, while Iberdrola companies owned the networks covered by the deal. The regulator said opening the case does not determine the final outcome of the investigation and therefore is not a final ruling on the company’s liability or any penalty it may face. The case centers on information and reporting obligations attached to approval of the deal, not on announced proceedings against Iberdrola companies. The decision opens the next stage of a review of compliance with conditions the regulator set to protect competition in Spain’s dark fiber market.

The deal dates to July 30, 2019, when the CNMC approved Lyntia Networks’ acquisition of rights to use and contractual positions in optical fiber networks and related assets. The networks were owned by three companies: Iberdrola España, Iberdrola Distribución Eléctrica and Iberdrola Generación. The regulator tied its approval to commitments it said were intended to protect competition in the dark fiber market. They included making Lyntia’s network in Spain available on reasonable terms and in the various commercial formats available for 5 years. The company also undertook to offer extensions of existing contracts due to expire within 10 years, and not to terminate existing contracts without cause, according to the text of the commitments published by the CNMC.

On July 20, 2026, the CNMC said it had found that Lyntia breached the deal’s third commitment. The regulator also said the fourth and fifth commitments were not met by the deadlines for submitting reports. Its decision also found a breach of the fifth commitment in the content of the reports, according to its statement. That finding was an outcome in the commitments-monitoring case, while the opening of sanctioning proceedings in November was a subsequent step in the investigation and penalty process. The regulator’s monitoring page showed that the latest result recorded in that case, dated July 20, was a finding of breach and a request to open sanctioning proceedings.

The sanctioning case is being reviewed under number SNC/DC/136/26, and the CNMC’s case page showed it was being processed as of its latest update on November 3, 2026. The commitments matter because of the market structure the regulator described when reviewing the deal in 2019. It said Spain’s dark fiber market was highly concentrated, with Reintel and Lyntia, the two main operators, together accounting for more than 90% of the market. It added that entry into the market faced significant barriers. The regulator also said the deal was notified after exceeding the 30% market-share threshold set in Spanish competition law, putting the approval conditions at the center of its oversight of the transaction.

The CNMC said opening the case does not prejudge the final outcome of the investigation. It set a maximum period of 3 months from the opening of proceedings to complete the investigation and decide the case. During this stage, the issue is whether the commitments attached to the 2019 approval were implemented as the regulator required, based on the facts it announced. The announced step is not a final ruling on liability or the amount of any penalty. EL7 data showed IBDRY stock closing at 102 on November 4, 2026, the session before the CNMC announced it had opened the proceedings.
