SanDisk’s board approved a forward stock split at a ratio of 8 to 1, according to an announcement on October 29, 2026, the same day the company reported fiscal first-quarter 2027 results. The company said the move is intended to make its shares more accessible, including to employees. Under the arrangement, each shareholder of record will receive 7 additional shares for every share held. SanDisk said its total market capitalization and shareholders’ ownership percentages will not change as a result of the split. The transaction therefore adjusts the number of shares and their price mathematically without changing the total value of a holding when it takes effect.

The share price is expected to fall mathematically to one-eighth of its pre-split value, while the number of shares rises to eight times its previous level, according to the company’s published FAQs. This means the price and share-count adjustments take place together when trading begins on the new basis. SanDisk said the additional shares will be issued after the market closes on November 19, 2026. The shareholders eligible for the split will be determined based on the shareholder register at the close of trading on November 9, 2026. Trading on a post-split basis is expected to begin at the market open on November 20, 2026, according to the company’s filing with the U.S. Securities and Exchange Commission.

The announcement coincided with quarterly results showing SanDisk revenue rising to 11.031 billion dollars in fiscal first-quarter 2027, from 8.965 billion dollars in the previous quarter, a sequential increase of 23%. The company also reported net income under generally accepted accounting principles of 8.101 billion dollars, compared with 6.903 billion dollars in fiscal fourth-quarter 2026. Diluted earnings per share were 52.60 dollars, versus 43.97 dollars in the previous quarter. These figures provide a direct comparison between consecutive fiscal quarters, while the company said the earnings-per-share data in the results announcement are presented on a pre-split basis. It confirmed that the data do not reflect the announced split.

Data centers were the strongest growth driver among the segments disclosed by the company, with revenue of 4.802 billion dollars in fiscal first-quarter 2027, up 61% from the previous quarter. Chief Executive David Goeckeler said, "Strong and growing demand for our products is driving accelerating growth in our data-center business." Revenue from the Edge category was about 5.832 billion dollars, up 7% sequentially. By contrast, consumer revenue fell to 397 million dollars, down 29% from fiscal fourth-quarter 2026. The divergence between data-center growth and declining consumer revenue shows the differing performance of the company’s segments over the same period.

The comparison with fiscal fourth-quarter 2026 shows revenue continuing to grow, after SanDisk reported 8.965 billion dollars then, up 51% from fiscal third-quarter 2026, according to its previous results. In August 2026, the company announced an expansion of its share-repurchase authorization by 14 billion dollars, bringing the total remaining authorization to 15.5 billion dollars. These figures form part of the background to the company’s previous results and financial plans, while the October 29 announcement focuses on the split, first-quarter results and the outlook for the following period. In morning trading on October 29, SanDisk shares fell 2.8% to 1,365.15 dollars, before the company reported its fiscal-quarter results after the market close. That move relates to the session on the day of the announcement and is not the stock’s closing price.

For fiscal second-quarter 2027, SanDisk forecast revenue of between 12.2 billion and 12.6 billion dollars. It also set a range for non-GAAP diluted earnings per share of between 55 and 57 dollars, on a pre-split basis. The company emphasized that the share information in its guidance does not reflect the announced split. Comparisons with this guidance therefore remain tied to the pre-split basis until trading on the adjusted basis begins on November 20, 2026. Before then, shareholders of record will be determined on November 9, followed by the issuance of additional shares after the market closes on November 19.
