Pyxus International announced on November 5, 2026, a transaction support agreement with a group of its creditors to restructure about $457 million in obligations, aiming to reduce debt and extend its maturities. The company said the supporting creditors include Glendon Capital Management, Intermarket Corporation and Owl Creek Asset Management. According to Reuters, if completed in full, the exchanges would convert about $92 million of debt into equity, repay $65 million and extend the maturities of about $300 million of remaining secured debt. The plan makes those outcomes contingent on completing the exchange transactions, alongside a proposed private offering of shares. Chief Executive Peter Sekul said the agreement represents "an important step in our efforts to strengthen our capital structure, extend the maturities of key debt and improve the company's financial flexibility."

The supporting creditors represent 67.9% of outstanding Intabex loans, 74.9% of Pyxus loans and 56.0% of outstanding secured notes. The exchange transactions target eligible debt holders, with the option to exchange existing secured debt for new secured debt, alongside new shares for certain creditor classes. These percentages give the agreement a broad support base across the three financing categories, but execution remains tied to participation by eligible debt holders. Converting part of the debt into equity would reduce obligations while increasing the share count, diluting existing shareholders' stakes. The actual amount of the reduction remains contingent on completing the exchanges under the specified terms.

The agreement includes a proposed private offering of up to $85 million at $2.50 per share, to be completed at roughly the same time as the exchange transactions. Shares worth $42.5 million are allocated to the backstop parties, while the other $42.5 million is distributed pro rata among eligible participants. The backstop covers $37.5 million of this second portion. Reuters reported that the company intends to use the offering proceeds to repay $65 million of debt once the exchanges are completed in full. The proposed structure thus combines new financing with repayment of part of the obligations, alongside the exchange of another portion of the debt for shares.

The announcement coincided with results for the second quarter of fiscal 2027, which ended on September 30, 2026. Revenue was $534.4 million, compared with $570.2 million in the corresponding period of 2025. Tobacco leaf sales volume fell 15.8%, which the company attributed to shipment timing in Asia and smaller crops in some of its regions. Shipments of the current crop from Africa and South America were also delayed by shipping constraints and a slower pace of purchasing and processing. The company offset some of the delay with increased sales of carryover crop from Africa. These factors weighed on quarterly revenue, alongside a decline in sales volume compared with the corresponding period.

Pyxus reported net income attributable to the company of $4.146 million, compared with a loss of $879 thousand in the second quarter of the previous fiscal year. The return to profitability was partly tied to a $9.1 million gain from the sale of a tobacco processing facility in Aragua, Brazil, as well as a more favorable income tax expense. By contrast, Adjusted EBITDA, a non-GAAP measure, was about $43.027 million, compared with $54.761 million in the corresponding quarter. The results show a divergence between accounting net income and a year-over-year decline in this adjusted operating measure. PYYX shares closed at $2.50 on November 4, before the agreement was announced the following day.

The company narrowed its fiscal 2027 Adjusted EBITDA outlook to $215 million–$235 million, from a previous range of $210 million to $240 million, while maintaining its net sales outlook at $2.3–$2.5 billion. Net debt was $1,250.5 million on September 30, 2026, down $13.6 million from $1,264.1 million a year earlier. There was no outstanding balance on the $150 million asset-backed revolving credit facility at quarter-end. These financial indicators provide context for the agreement, which aims to rearrange debt maturities while providing access to financing from the proposed share offering. The scheduled maturity date for the outstanding secured notes and term loans was December 31, 2027, according to the company's annual report filed with the Securities and Exchange Commission.

The company expects to launch the note exchange offer within 10 days of the agreement becoming effective and to complete the transactions on or before December 15, 2026. Completion is subject to required conditions and approvals, and the proposed private offering is also linked to the exchange transactions being completed at roughly the same time. These dates mark the next stage in the restructuring plan, following the support agreement announced on November 5. If the exchanges are completed in full, the outcomes would include converting about $92 million of debt into equity, repaying $65 million and extending the maturities of about $300 million in secured debt. The company has not announced completion of these steps in the available information.
