Clarus reported results on November 5 for the quarter ended September 30, 2026, posting net income of $3.3 million, or $0.09 per diluted share, compared with a net loss of $1.6 million, or $0.04 per share, a year earlier. Sales were $71.2 million, compared with $69.3 million in the third quarter of 2025. The company raised its fiscal 2026 adjusted EBITDA outlook to about $15–17 million from $12–13 million. It also raised its annual sales range to $251–255 million from $245–255 million. The return to profitability, alongside the higher estimates, was central to the results the company issued in its statement.

Growth in consolidated sales came alongside a clear divergence between the company’s two businesses. Outdoor segment sales rose 12.4% to $54.7 million in the third quarter, while Adventure sales fell 20.2% to $16.5 million. Clarus attributed Outdoor’s growth to improved revenue from wholesale and independent dealers, as well as direct-to-consumer sales worldwide. By contrast, it said weakness in the Australian wholesale market for Rhino-Rack and MAXTRAX products weighed on Adventure. It added that foreign exchange effects offset part of the decline, but did not prevent a drop in segment sales.

The company’s margins improved alongside its return to net profit. Gross margin was 41.0% in the third quarter, compared with 35.1% in the same period a year earlier. Clarus said the margin benefited by about 80 basis points from the recovery of tariffs related to the International Emergency Economic Powers Act (IEEPA). Adjusted EBITDA was $6.8 million, with a margin of 9.6%. A year earlier, the figure was $1.8 million, with a margin of 2.6%. Chief Executive Warren Kanders said, "Our efforts to simplify the business, increase product focus and improve operating efficiency are beginning to translate into stronger financial performance."

The company also raised its fiscal 2026 free cash flow estimate to breakeven, from its previous estimate of $6 million. The revision accompanies the higher adjusted earnings range, while Clarus forecast fourth-quarter sales of $62 million to $66 million and adjusted EBITDA of about $3 million. These estimates place the coming quarter in the context of its new annual outlook, as the company continues to link its financial forecasts to business results and improved operating efficiency. The annual free cash flow estimate of breakeven remains distinct from the adjusted earnings estimate, with the statement presenting each as a separate measure.

Clarus continues to review strategic alternatives, including the potential sale of all or part of the business, or strategic or financial transactions. The company appointed Jefferies as financial adviser for the review. Clarus said the review has no deadline or specific timetable, and there is no assurance it will result in a transaction or another strategic outcome. The review remains an unresolved factor alongside the quarterly results and updated outlook; the company did not announce a decision date in its disclosure. The third-quarter results call was scheduled for November 5, 2026, at 5:00 p.m. Eastern time.

In trading on November 4, before the results were announced, CLAR closed at $4.42, according to EL7 data. It closed at $4.25 on November 5. The two closing prices place the stock’s move on the announcement day in a different time context from the November 4 session, which preceded the release of third-quarter results on November 5. Closing-price data alone does not establish that the stock’s move on either day resulted from the results or the outlook update. These prices are therefore not attributed to a market reaction to the announcement.
