Align Technology entered into a $270 million accelerated share repurchase agreement with Goldman Sachs on November 5, as part of a $1 billion buyback program approved by its board in April 2025, according to a company filing with the U.S. Securities and Exchange Commission. Chief Financial Officer John Morici said the agreement fulfills the buyback commitment the company announced in July. He added that it raises total expected repurchases in 2026 to about $500 million. The move comes as the company carries out its capital return program for shareholders. Align describes its business as including the design and sale of the Invisalign clear aligner system, iTero intraoral scanners, and exocad computer-aided design and manufacturing software for orthodontics and restorative dentistry.

Under the agreement, Align will pay Goldman Sachs $270 million upfront and receive an initial delivery of about 1.44 million shares. That delivery does not determine the final number of shares to be returned to the company; the number is generally determined by the average daily volume-weighted price during the repurchase period, less an agreed discount. The final delivery size is therefore tied to the price path during the agreement’s execution period. Before entering into the agreement, $600 million remained available for repurchases under the April 2025 program, according to the company’s filing as of November 5. Align expects about $330 million to remain available for future repurchases after this agreement.

The announcement follows Align’s July 29 increase of its 2026 share repurchase commitment to a range of $400 million to $500 million, after it said it intended to repurchase common shares totaling that amount during the year. The company said at the time that the decision reflected the board’s and management’s confidence in the company’s long-term value. The company had previously repurchased about 627.3 thousand shares in the third quarter, at an average of $164.73 per share. Those purchases were made under the $200 million open-market plan it announced in April and completed earlier in October. The new agreement thus joins a series of announced repurchases during the year, with part of the program still available for later use.

The company is funding the agreement with available cash; cash and cash equivalents totaled about $1.145 billion on September 30, 2026. In third-quarter results, clear aligner revenue rose 4.2% year over year to $839.3 million, while shipment volume increased 6.6% to 690.6 thousand cases. By contrast, revenue from imaging systems and CAD/CAM services fell 7.6% to $175.5 million. Chief Executive Joe Hogan said quarterly revenue and aligner volume were in line with expectations, and the non-GAAP operating margin exceeded prior guidance. He also said shipments to North American orthodontists posted annual growth for the first time in six quarters, while shipments of dental service organizations increased by double digits.

Morici said demand in the dental and orthodontics sector remained affected by weak spending on elective health care and equipment investment, and that fourth-quarter expectations reflected the continuation of these conditions. He said preliminary planning for 2027, by contrast, assumes an operating environment similar to current conditions and does not require a consumer recovery. Available price data show that Align shares closed at $159.37 on November 5, compared with $164.90 in the previous session, in a session before the filing was published on November 6. Final settlement of the agreement is expected no later than about December 29, 2026, though it may be completed earlier under certain circumstances. The final number of shares will be determined at settlement under the pricing mechanism set out in the agreement.
