Aegis Brands said on November 6, 2026, that it had launched a formal review of strategic alternatives after its board received unsolicited expressions of interest from several parties. The company said the board had not entered into discussions and that a special committee of independent directors would oversee the review. The announcement came alongside third-quarter results, with system sales rising 8.1% to C$35.4 million and same-store sales increasing 8.4% from a year earlier. The company also said Sean Murphy resigned as president, CEO and a member of the board, effective immediately. The announcement did not specify which alternatives the company would consider, and said an executive management committee would continue to lead day-to-day operations.

The third-quarter results covered 13 weeks ended September 27, 2026, compared with the corresponding 13 weeks ended September 28, 2025. Net income was C$1.022 million, compared with $684 thousand in the third quarter of 2025, while earnings per share remained at $0.01 in both periods. On an adjusted earnings before interest, taxes, depreciation and amortization basis, the company reported C$1.698 million, versus $1.478 million in the comparable period. The company said reported year-over-year growth in the measure was 14.9%. The results put revenue and earnings improvement in the same period that the board began reviewing interest from outside parties.

The company attributed the improvement in net income to a 2.6% increase in royalty and franchise revenues during the quarter, alongside a 6.3% year-over-year decline in related operating expenses. It said the reduction in those expenses was driven mainly by a more efficient overhead structure. Lower interest and financing costs also supported the result, the company said, along with the absence of a loss from discontinued operations. These factors outline the sources of improvement cited by the company alongside growth in system and same-store sales. In its statement, the company linked lower operating expenses related to royalties and franchises to improved overhead efficiency.

The comparison with the previous quarter shows a shift in the reported sales trend: in the second quarter of 2026, system sales fell 2.1% to C$34.6 million, while same-store sales dropped 3.9% from a year earlier. The company said at the time that the comparison was affected by the timing of its annual “Wingsanity” promotion. In the third quarter, system and same-store sales posted year-over-year growth, according to the company’s results. For the 39 weeks ended September 27, 2026, net income was C$2.820 million, compared with $1.927 million for the period ended September 28, 2025. Adjusted EBITDA for the same period rose to $4.921 million from $4.133 million.

Alongside the review, Murphy resigned as president, CEO and a member of the board, effective immediately, with the company saying he had made the decision to pursue another professional opportunity. The board formed an executive management committee to lead day-to-day operations and carry out strategic priorities under its oversight. The committee comprises Chief Financial Officer Melinda Lee, Senior Vice President of Operations Trevor Sainsbury, Vice President of People and Communications Tara Ramsey, and Vice President of Marketing and Strategic Partnerships Royal Nasager. Chairman Anthony Longo said the board had confidence in the leadership team to ensure continuity, support franchisees and build on the success achieved. The committee continues to manage operations while independent directors on a special committee oversee the review.

“The Board has full confidence that the leadership team will ensure continuity of operations, support our hard-working franchisees, and continue to build on our success to date,” Longo said in the company statement. The company has not said it had entered into discussions with the parties that expressed interest, nor has it detailed the strategic options under review. Its announcement so far sets out the special committee’s role in overseeing the process and the executive management committee’s role in running the business and carrying out priorities under the board’s oversight. The results for the 39-week period show increases in net income and adjusted earnings compared with the corresponding period in 2025. The announcement does not give a specific timeline for the review’s outcome.
