Emera and Canadian Utilities Deal Targets Enterprise Value of About $72 Billion

2Canadian Utilities Class A shareholders, excluding ATCO, will receive 0.755 Emera shares for each share.
3The combined capital plan totals $32 billion through 2030.
4Shareholder meetings are scheduled for February 2, 2027, with the date not to exceed February 9, 2027.

Emera plans to combine its regulated utility and energy infrastructure assets with those of Canadian Utilities in an agreement announced on October 6, 2026, valuing the combined enterprise at about $72 billion. According to Emera’s announcement, the regulated asset base is expected to total about $45 billion, and the company would serve nearly six million customers. The deal also reshapes ATCO’s assets, with its industrial services business to be separated into an independent company called “New ATCO.” The transaction thus combines utility and energy operations in one entity while keeping the industrial business outside it. Completion remains subject to shareholder and regulatory approvals and other closing conditions. ATCO expects the deal to close in the third or fourth quarter of 2027.

The consideration for Canadian Utilities shareholders varies by class. According to Emera’s announcement, holders of Canadian Utilities Class A shares other than ATCO will receive 0.755 Emera shares for each share they hold, while holders of Class B shares other than ATCO will receive 0.819 Emera shares for each share. The two ratios apply upon completion of the arrangement and show that consideration is not uniform across the company’s share classes. ATCO plans to separate its industrial services business, which includes housing, defense and investments including ports and retail energy, into “New ATCO.” According to Emera’s announcement, the new company will operate in industrial services, while the utility and energy infrastructure assets will be combined in the merged company. The deal therefore includes a restructuring of ATCO’s businesses alongside the combination of regulated assets.

Emera estimates that its current shareholders will retain about 60% ownership of the combined company after completion, compared with about 40% for ATCO and Canadian Utilities shareholders combined. The company also outlined a $32 billion capital plan through 2030, which it said supports expected average annual growth of 7% to 8% in the asset base. Emera expects the deal to increase adjusted earnings per share in the first full year after completion. These figures show the planned scale of the new entity and the expected capital spending in the years following the announcement. Emera Chief Executive Scott Balfour said the combination “will strengthen our credit profile, lower our cost of capital and enhance our ability to capture the growth opportunities we see in Florida and Alberta.”

The path to completion remains tied to shareholder meetings and court and regulatory approvals. The deal agreement calls for shareholder meetings of the three companies on February 2, 2027, or as soon as possible afterward, with the date not to exceed February 9, 2027. A number of ATCO and Canadian Utilities shareholder resolutions require approval by two-thirds of votes cast, while Emera’s share issuance requires a simple majority of its shareholders’ votes. Conditions also include court and regulatory approvals and conditional approvals for exchange listings. Emera said a joint management information circular detailing the deal will be prepared and distributed to securityholders ahead of special meetings expected in early 2027. ATCO’s announced closing window in the third or fourth quarter of 2027 remains subject to those conditions being met.

Market reaction to the agreement when it was announced on October 6 was mixed among the stocks involved. Emera shares fell 2% in trading, while ATCO shares rose 12.8%, according to Reuters, as cited by MarketScreener, while Canadian Utilities shares posted marginal gains. Against the backdrop of operating results, Emera reported adjusted earnings per share of C$0.85 in the third quarter of 2026, compared with C$0.88 in the same period a year earlier. Reported earnings per share were C$0.59, versus C$0.76 in the third quarter of 2025. In market data recorded by EL7, Emera shares, traded under the ticker EMA, closed at $51.19 on November 5, 2026. That price reading is from the session before the news date, while the next shareholder-related milestone remains set for February 2027.
