3The deal was valued at about $207.5 million based on the July 20, 2026 close.
4First Financial is targeting completion in the fourth quarter of 2026 or the first quarter of 2027.

Finward Bancorp shareholders approved the merger proposal with First Financial Bancorp at their special meeting on November 2, 2026, by a wide margin of 3,016,827 shares in favor to 27,370 shares against. No abstentions or broker non-votes were recorded, according to results reported by Investing.com, citing Reuters. Approval of the proposal required affirmative votes from holders of a majority of the outstanding shares eligible to vote, according to the final proxy statement filed with the U.S. Securities and Exchange Commission. The agreement also made shareholder approval a condition to closing the deal, meaning the vote removed one of the key conditions to proceeding. But approval does not mean the merger is complete, as the deal remains subject to government and regulatory approvals and the satisfaction of other contractual conditions.

Finward had about 4,330,893 shares outstanding as of the September 22, 2026 record date for shareholders eligible to vote. A quorum required the presence or representation of holders of a majority of the outstanding eligible shares, according to the proxy statement. The vote was therefore conducted within a framework that determined in advance which shareholders could participate in the decision. The result showed support far exceeding the number of votes against, with no abstentions or broker non-votes recorded. The vote gives the company shareholder approval for the merger proposal, but does not replace the official approvals required before closing.

Under the merger agreement, each holder of an outstanding Finward share is entitled to receive 1.35 shares of First Financial upon completion of the deal. First Financial expects to issue about 5.87 million shares to Finward shareholders in total, according to estimates in the proxy statement. After completion, current First Financial shareholders are expected to own about 95% of the combined company’s common stock. First Financial valued the deal at about $207.5 million, based on its share price at the close on July 20, 2026. That value is an estimate tied to the share price on that date, while the agreement sets the consideration on a stock-for-stock basis.

The deal expands First Financial’s presence in northwest Indiana and the Chicagoland region, the company said in its filing. It said the acquisition strengthens its core deposit base and complements its commercial banking and wealth management businesses. As of March 31, 2026, Finward operated 24 full-service banking offices, with assets of about $2.0 billion, loans of $1.5 billion and deposits of $1.7 billion. These figures are unaudited, according to the filing, and describe the scale of Finward’s business before completion of the deal. After the two holding companies merge, Finward’s Peoples Bank is expected to merge into First Financial Bank, which will remain the surviving bank.

First Financial expected to complete the acquisition in the fourth quarter of 2026 or the first quarter of 2027, subject to obtaining the required government and regulatory approvals and satisfying other closing conditions. The transaction requirements also include listing the First Financial shares to be issued to Finward shareholders, along with the contractual conditions set out in the agreement. In trading on November 2, 2026, FNWD closed at $44.42, while First Financial, listed under the ticker FFBC, closed at $33.01. The closing prices provide a snapshot of the two shares’ trading on the same session as Finward’s shareholder meeting. The available data do not include reliable opening, high or low prices for FNWD in that session.
