Falcon Energy Agrees to Buy 49% Stake in Chinese Graphite Anode Producer for $22 Million

Key Facts

1Falcon intends to acquire a 49% stake in Weihai for $22 million in cash at closing.
2The CSPG production circuit at Weihai's facility has nameplate capacity of 25,000 tons a year.
3Weihai began commercial production in the second half of 2025.
4Falcon expects to complete the deal by the end of the fourth quarter of 2026, with January 31, 2027 as the latest date.

Falcon Energy Materials announced a definitive agreement on November 3, 2026, under which it will acquire, through its subsidiary Falcon EMG Holdings, a strategic non-operating 49% stake in Weihai Hensen for $22 million in cash at closing. The agreement gives the company a minority stake in a Chinese graphite anode materials producer, without taking over operations. Chief Executive Matthew Boss said the deal means the company is "directly entering an established graphite anode business, with capabilities in natural and synthetic graphite." The investment links Falcon's expansion in China with the CSPG materials plant it is developing in Morocco. The deal remains subject to closing conditions and regulatory approvals.

Weihai is located near the city of Weihai in China's Shandong province and produces anode materials from natural, synthetic and recycled graphite. Its facility includes a purified spherical natural graphite, or CSPG, production circuit with nameplate capacity of 25,000 tons a year, as well as synthetic and recycled graphite lines. Falcon said current utilization of the facility is below nameplate capacity, leaving a gap between designed capacity and output currently in use. These operations give the acquirer an established production base rather than entry into a business still in its start-up phase. The disclosure did not specify actual output or the amount by which it could increase.

Weihai was established in 2023 and began commercial production in the second half of 2025, according to Falcon's disclosure. Its core products are sold under long-term contracts to Chinese anode materials manufacturers. This arrangement gives the business existing contractual ties with buyers in its domestic market, alongside the operation of multiple graphite lines. Falcon is therefore entering the deal with a stake in a company that has already begun commercial production, but is currently using less than its nameplate capacity. The disclosure did not state the contracts' duration or value, or the volume sold under them.

Under the shareholders' agreement, which takes effect upon completion of the acquisition, Falcon is entitled to nominate one member to Weihai's 3-member board. Major matters also require unanimous shareholder approval, arrangements that give the minority shareholder board representation and rights over specified decisions. The 49% stake remains non-operating, according to the company's description of the agreement, and does not mean Falcon will manage the facility. The governance rights take effect upon completion of the deal, not merely its announcement. The disclosure did not list the matters requiring unanimity.

Falcon said the $22 million purchase price will be paid in cash at closing and funded from proceeds of a C$34 million non-underwritten private placement that closed on September 23, 2026. The company thus linked the acquisition funding to proceeds it had raised before announcing the agreement. If the deal does not close, Falcon said the reserved funds will be directed to its growth plans in Morocco and international markets, as well as general working capital. The disclosure did not specify how much of the proceeds would be allocated to each alternative use. Payment of the consideration depends on the deal reaching closing.

Among other conditions, completion of the deal requires registration with the relevant local branch of China's State Administration for Market Regulation and completion of foreign exchange registration with the State Administration of Foreign Exchange or an authorized bank. Falcon expects the deal to close by the end of the fourth quarter of 2026, and no later than January 31, 2027, subject to the satisfaction or waiver of closing conditions. This timetable sets an expected date and a contractual outside date for completing the acquisition. Until closing, Falcon's proposed stake, board rights and shareholders' agreement remain contingent on completion of the required procedures. The disclosure did not announce that the registrations had been completed or the closing conditions met.
