tZERO and FG Imperii announced a definitive business combination agreement on November 2, 2026, allowing the tokenized financial markets infrastructure platform to become a public company. tZERO said the agreement values its pre-money equity at $350 million, a figure that includes up to $25 million contingent on achieving specified milestones. Under the merger agreement, total consideration for tZERO security holders is $325 million, payable in FG Imperii Class A shares. Each of those shares was valued at $10 for purposes of determining the consideration. The deal structure therefore combines the pre-money valuation and the base stock consideration, with an additional portion of the valuation tied to achieving milestones.

The combined company could receive up to approximately $231 million in cash at closing from FG Imperii's trust account. tZERO said this amount remains subject to redemption requests by FG Imperii shareholders and is calculated before transaction expenses. The cash actually available at closing will therefore depend on the amount shareholders redeem and the expenses paid to complete the merger. tZERO expects to use the net proceeds to strengthen its balance sheet and expand its technology and regulated infrastructure. The company said the funds will also support commercial growth, new products and strategic partnerships, as well as general corporate purposes.

Current tZERO shareholders are expected to roll over all of their holdings, or 100% of their equity, into the combined company. After closing, the company's shares are expected to trade on NYSE American under the symbol TZRO. The agreement also includes a total of 2,500,000 contingent shares for current shareholders, to be placed with an escrow agent at closing. The shares will be released upon satisfaction of milestones set out in the agreement, including regulatory and commercial milestones, followed by the achievement of positive adjusted operating earnings. These shares remain an additional contingent component of the consideration, with entitlement dependent on achieving the specified milestones.

tZERO subsidiaries operate regulated financial infrastructure services that include an SEC-registered broker-dealer and FINRA member, alongside an alternative trading system operating under Regulation ATS. Their services also include an SEC-registered transfer agent, and brokerage, custody and settlement for tokenized and traditional securities. In derivatives, the company said it has a CFTC-registered introducing broker and a registered derivatives clearing organization, while its application to be designated a designated contract market remains under review. tZERO said its portfolio includes more than 100 early blockchain-related patents. In August 2026, the company unveiled a new interface for its platform combining account opening, investing, trading, custody and payments, and said it targets retail investors and institutional infrastructure clients.

tZERO and North Capital said in July 2026 that they had routed the first order through the Agora network, describing it as the start of live operations for a network connecting alternative trading systems for private and tokenized securities. On the deal, the boards of both companies approved it unanimously, while shareholders representing about 62% of tZERO's fully diluted capital signed support agreements. The merger is expected to close in early 2027, subject to shareholder and regulatory approvals, the effectiveness of the registration statement and approval to list the shares on NYSE American. The parties intend to file an S-4 registration statement with the SEC, including a preliminary FG Imperii proxy statement and a prospectus for shares to be issued in the deal; after the registration becomes effective, FG Imperii plans to send a definitive proxy statement to its shareholders. The agreement allows either party to terminate it if closing conditions have not been satisfied or waived by March 15, 2027, subject to the agreement's exceptions; disclosures also warned that the deal could be delayed or not completed, and that redemption requests or a failure to obtain shareholder approvals could prevent closing.
