On October 27, Repligen raised its fiscal 2026 revenue guidance to a range of $844 million to $852 million, after announcing completion of its acquisition of BioLife Solutions on October 6. The company set expected reported revenue growth at 14.5% to 15.5%, and organic growth at 12% to 13%. The guidance includes BioLife’s expected impact from the deal’s closing date, not for the full year. Repligen said inorganic growth adds about 2.5 percentage points to reported revenue growth, primarily from the acquisition after accounting for the sale of Polymem. That places the deal among the components of the updated guidance alongside expected organic growth.

The update coincided with revenue of $209.3 million in the third quarter ended September 30, 2026, compared with $188.8 million in the corresponding period of 2025. The company said revenue rose 11% on a reported basis and 12.5% organically. Adjusted diluted earnings per share also rose to $0.53 from $0.46 a year earlier. These figures provide a picture of performance in the quarter before BioLife’s impact was included in the full-year guidance from the closing date. However, the results also included a $29.5 million operating loss under U.S. accounting standards, after the company recorded operating income of $16.8 million in the third quarter of 2025.

Repligen attributed the operating loss mainly to impairment of intangible assets. In its earnings statement, it said third-quarter restructuring costs included measures to simplify its global manufacturing footprint and align its workforce to support long-term growth. These measures put the cost of reorganization in the context of the operational changes underway at the company. By contrast, Chief Executive Olivier Loeillot said demand in end markets continues to improve. He added that trends in consumables and services are good, and that the capital equipment order book is growing.

On October 6, Repligen announced completion of its previously announced acquisition of BioLife, which operates in the biopreservation solutions market. The consideration for BioLife shareholders was $11.25 in cash and 0.1442 shares of Repligen stock for each share, with cash paid in lieu of fractional shares. Repligen said BioLife’s portfolio adds consumables with recurring revenue. It said its CryoStor products support 18 commercially approved therapies, as well as the majority of commercially funded cell therapy trials in the United States. Including the deal’s impact from its October closing date was the basis on which the company calculated the acquisition’s contribution to 2026 guidance.

When announcing the acquisition agreement, Repligen expected at least $20 million in synergies in the first year after the deal and $30 million in the second year. It said sources of savings include eliminating public-company costs, improving administrative expenses, and increasing manufacturing and supply-chain efficiency. After the deal closed, Loeillot said the integration was progressing well and that the company had already taken steps to achieve a significant portion of the expected operating expense savings. He added that early customer feedback had been very encouraging. The company said the guidance increase reflects year-to-date performance and order momentum, alongside the addition of BioLife.

Repligen had $863 million in cash, cash equivalents and marketable securities on September 30, 2026, compared with $768 million on December 31, 2025. EL7 data showed the stock closed at $172.95 on November 2. In its deal-completion filing, the company cautioned that the benefits of the acquisition, synergies, financial impact and revenue growth may not be realized on the expected timeline, or at all. It also warned of risks of disruption to the business and relationships with customers, suppliers and employees during integration. Expected savings and BioLife’s contribution to growth remain tied to completing the integration and achieving the benefits identified by the company.
