C$1 Billion Joint Investment in Residential Portfolio Awaits Financing Approvals
Key Facts
Morguard and its fund announced an agreement on February 25 for a joint investment of approximately C$1.0 billion in a multi-suite residential property portfolio. The investment represents an approximately 20% undivided interest in a portfolio of up to 106 properties, with an estimated value of approximately C$5.0 billion. In its third-quarter update, the fund said its proposed share includes 60 properties at an aggregate price of approximately $478.1 million before closing costs. That update valued the share at approximately 22% of the portfolio identified for the fund. The fund said the transaction is expected to close in a single tranche, but remains subject to approval by the Canada Mortgage and Housing Corporation and lenders.
The property allocation details show that the fund’s share includes 60 properties with 7,574 residential suites, while the number of ownership units attributed to its share is 1,635. The difference between the two figures reflects variations in ownership stakes by region, according to the allocation data published by the fund. The October 27 update cited an aggregate price of $478.1 million for the fund’s share before closing costs. The fund also paid a non-refundable deposit of $10 million by September 30, which it recorded as a prepaid expense. Mortgage and financing approvals remain a condition for closing the transaction, according to the third-quarter results statement.
The financing plan includes using available cash and assumed mortgages, along with approximately $111 million in vendor financing, with the remainder to be covered by short-term borrowing. The assumed mortgages are insured by the Canada Mortgage and Housing Corporation, and have a loan-to-value ratio of approximately 40%. The fund had liquidity of $272 million on September 30, including approximately $172 million in cash and $100 million available through a revolving credit facility. These figures provide a picture of the disclosed resources alongside the financing tied to the transaction, while lender and agency approvals remain a condition for closing. The third-quarter statement did not specify a closing date.
The proposed investment comes as the fund’s third-quarter results showed annual declines in two operating metrics. Net operating income fell 0.7% to $53.7 million in the three months ended September 30, 2026, compared with the same period in 2025. Core funds from operations fell 11.8% to $19.7 million over the same period. In contrast, the fund increased its annual cash distribution by $0.02 per unit, or 2.53%, to $0.81 from $0.79. The revised distribution applies to the November distribution, payable in December 2026.
