On October 29, LiveWire withdrew its forecast for a full-year 2026 operating loss of $70–80 million and said conditions and events raised substantial doubt about its ability to continue as a going concern within one year after issuing its financial statements for the period ended September 30. The disclosure puts funding and continuity at the center of the company’s news, despite higher third-quarter revenue. Management said its assessment was based on recurring operating losses, negative operating cash flows, limited liquidity and future funding needs. In its filing with the U.S. Securities and Exchange Commission, the company said these factors "raise substantial doubt about the company's ability to continue as a going concern." The company did not state in the disclosed facts that its funding efforts would succeed or that the alternatives under consideration would provide the necessary liquidity.

The withdrawal of the forecast coincided with a 38% rise in consolidated third-quarter revenue from the same period in 2025, driven by higher unit sales in the electric motorcycle and STACYC segments. Revenue was $7.9 million, compared with $5.7 million a year earlier, while the operating loss narrowed to $17.5 million from $18.8 million. Net loss also fell to $18.6 million from $19.4 million in the year-earlier quarter. The figures reflect year-over-year improvement in revenue and losses, but came alongside management’s warning about liquidity resources and future funding requirements. The company therefore kept its ability to finance operations at the center of its going-concern assessment.

Electric motorcycle sales rose 31% to 241 bikes in the third quarter, compared with 184 a year earlier, and segment revenue increased to $2.7 million from $1.0 million. In the STACYC segment, which includes electric balance bikes for children and electric motorcycles, sales reached 6,992 units, up 20% year over year. But the company said the segment’s loss increased by $0.2 million from the third quarter of 2025, mainly because of higher shipping costs. Results in both segments show that unit growth did not eliminate pressure from operating costs and financing. The annual operating loss was $75.484 million in 2025, down from $110.356 million in 2024, but remained substantial compared with the loss forecast the company withdrew for 2026.

In the background to its liquidity assessment, company data in its semiannual filing showed cash and cash equivalents of $52.869 million as of June 30, 2026. LiveWire used net cash of $26.406 million in operating activities during the first half of the year. In its latest filing, the company cited limited liquidity resources and negative operating cash flows among the factors raising doubt about its ability to continue. The decision to withdraw its full-year loss forecast also means the company is no longer providing an estimate for that loss in 2026 in its filing. This follows years of operating losses, even as some quarterly sales measures continued to grow.

As part of its restructuring, LiveWire’s board formed a special committee on October 22, 2026, and the committee appointed Roy Gallagher as chief restructuring officer and chief executive officer. LiveWire said it is evaluating financing and strategic alternatives, including significant capital raises, strategic partnerships or investments, asset sales and other transactions. It added that these efforts do not guarantee success or the availability of a deal on acceptable terms. That makes the search for funding or a partner a direct part of addressing the company’s needs, alongside management’s assessment of its ability to continue. The filing did not include a final outcome for any of the options the company said it was considering.

In the market, EL7 data shows LiveWire, listed under the ticker LVWR, closing at $0.6117 on November 2, 2026. Bloomberg reported on October 29 that the stock fell sharply after the company warned of going-concern risks, and noted that the upper end of the withdrawn forecast was $80 million. Among the company’s upcoming deadlines, it expects to file its quarterly 10-Q for the period ended September 30 no later than November 9, 2026. It said the report will include additional information on liquidity, management’s plans and its going-concern assessment. The filing is expected to add detail on the options the company said it is considering and its financial assessment for the coming period.
