Intesa raises 2026 net income outlook to well above €10 billion
Key Facts
Intesa Sanpaolo Group raised its 2026 net income outlook to “well above €10 billion,” according to its results statement issued on November 3. The revision came as the bank reported net income of €8.199 billion for the first nine months of the year. The group said its full-year outlook had been raised to that level, without specifying a higher final figure. The updated outlook accompanies results for the period ended in September, which showed an increase from the same period last year. The bank also said its takeover and exchange offer for shares in Banca Monte dei Paschi di Siena is moving forward after the target bank’s shareholders met on October 29.
Intesa’s net income was €2.645 billion in the third quarter, compared with €2.793 billion in the second quarter of 2026. For the nine months, net income reached €8.199 billion, versus €7.588 billion in the same period of 2025. The figures show different trends in the quarterly and annual comparisons: net income fell from the previous quarter, while the nine-month total rose year over year. The statement did not include analyst estimates or a comparison between the third-quarter result and market expectations. The bank linked its updated 2026 outlook to the results announced in its November 3 statement.
Operating income rose 5% in the first nine months compared with the same period of 2025, while operating expenses fell 1.3%, according to the results statement. Among the components of operating income, net interest income increased 2.3%, net fee and commission income rose 5.2%, and insurance business income grew 5.8%. The bank also pointed to strong growth in earnings on financial assets and liabilities measured at fair value, without providing a figure for that component. These indicators show that operating income growth was accompanied by lower expenses during the period, according to the group’s figures. The statement also raised the full-year net income outlook to well above €10 billion.
On capital distributions, the bank said €7.8 billion had accrued for distribution to shareholders during the first nine months of 2026. That amount includes €6.1 billion in dividends, of which €3.8 billion was scheduled for distribution in November. The group added that a €2.3 billion share buyback was completed in October, in addition to the dividend amounts. The reported total therefore combines shareholder distributions and a buyback program completed in the previous month. The bank gave these figures in its presentation of results for the period ended September 30.
Intesa’s offer for Monte dei Paschi was announced on June 8, 2026, as a voluntary takeover and exchange offer for all of the bank’s shares. The announced terms provide for the exchange of 10 Monte dei Paschi shares for 16 new ordinary Intesa shares, plus €1 in cash for each target share. Intesa valued the transaction at about €30.6 billion and said the offer included a premium of about 12.5% to Monte dei Paschi’s volume-weighted average share price on June 5. The offer requires Intesa to acquire at least 66.67% of the capital, while allowing it to waive that condition. In a statement issued on October 30, Intesa said the offer was moving forward following the results of Monte dei Paschi’s shareholders’ meeting held the previous day.
Intesa set out its estimates for the merger’s benefits and costs in the offer details. It expects annual pretax synergies of about €2.9 billion once a steady state is reached in 2029, and estimates integration costs at about €2.1 billion. It also expects the combined entity’s net income to exceed €16 billion in 2029. These are transaction and combined-entity figures and forecasts presented by the group, alongside its updated 2026 net income outlook. The announced offer timetable included filing the offer document by the end of June, followed by an extraordinary shareholders’ meeting on a capital increase on September 10, before the regulatory approval phase expected between the end of September and December 2026.
