Equitable and Corebridge Merger Targets More Than $500 Million in Annual Savings by 2028
Key Facts
Equitable Holdings and Corebridge Financial are targeting more than $500 million in annual expense savings on a run-rate basis by the end of 2028 as part of their merger plan, according to a statement from the companies. The two sides announced the target in the deal agreement, while Equitable said in its November 2 update that the merger is still expected to close by the end of 2026. The company said most of the savings would come from combining jobs, IT systems and vendor partners. The target puts cost savings at the heart of the expected benefits of bringing the companies together. Equitable shares, which trade under the ticker EQH, closed at $54.26 in the November 2 session.
Equitable's chief financial officer said on an investor call that about 30% of the savings would be achieved in the first year after closing, and about 75% would be recorded within 24 months. The timeline indicates it will take time after closing to reach the full targeted run rate, with savings emerging gradually. The company tied most of the expected reduction to combining jobs, IT systems and vendor partners. The CFO added that a large portion of the savings would come from overlapping service and systems contracts and roles at the two companies. The targeted savings represent about 10% of the combined company's expense base, according to the call.
Management, by contrast, estimated the cost of achieving the savings at about 1.5 times the value of the targeted annual run-rate savings. It said these costs would be reported below operating income. This means reaching the targeted annual reduction is also tied to incurring implementation costs during the integration period, according to management's estimate. The estimate distinguishes the value of the recurring savings targeted by the companies from the cost of achieving them. The remarks on the investor call did not specify how those costs would be distributed across the years.
Shareholders of both companies approved the proposals needed to complete the deal on July 30, 2026, but closing remains subject to regulatory approvals and customary closing conditions. Equitable confirmed in its November 2 earnings statement that completion is expected by the end of 2026, subject to the required approvals. Preliminary voting results showed that 99.96% of the votes cast by Corebridge shareholders and 97.24% of the votes cast by Equitable shareholders supported the merger. After closing, Corebridge shareholders will own about 51% of the combined company, compared with about 49% for Equitable shareholders. The exchange terms provide for one share in the new parent company for each existing Corebridge share, and 1.55516 shares for each existing Equitable share.
The companies expect to transfer more than $100 billion of Corebridge's general and separate account assets to AllianceBernstein over time after the deal closes. They also target more than $5 billion in operating earnings and more than $4 billion in cash flow for the combined company, based on 2027 illustrative estimates plus run-rate savings. Equitable said the deal is expected to be immediately accretive to earnings per share and cash flow, with the increase exceeding 10% by the end of 2028. The combined company is set to operate as Equitable under the ticker EQH, with its headquarters in Houston. Mark Costantini will serve as chief executive officer and Robin Raju as chief financial officer, according to the deal announcement.
In its third-quarter results, Corebridge reported net income available to common shareholders of $1.44 billion, compared with $144 million in the same period of 2025. Adjusted after-tax operating income available to common shareholders was $545 million, compared with $520 million a year earlier. Its chief executive said the company had already identified more than $100 million in deal-related expense savings. Equitable, meanwhile, reported non-GAAP operating earnings of about $595 million in the third quarter, compared with $455 million in the same period of 2025. Its chief executive said operating earnings per share were $2.13, or $1.98 excluding notable items, up 19% year over year.
