Copper Giant Resources announced on August 21, 2026, that it had closed a private placement raising C$30,999,996, after disclosing the financing terms and a supply agreement with Trafigura on August 6. The company said the issue price was C$0.72 per share. The financing had targeted gross proceeds of the same amount, with a lead order from Denarius Metals of C$28,800,000. The company allocated the proceeds to exploration and development of the Mocoa project and for general purposes. The completed financing is therefore a disclosed source of funding for project work, while the commercial agreement remains tied to the future start of production.

The plan included issuing 43,055,550 shares at C$0.72 per share, with Denarius subscribing for 40,000,000 shares for C$28,800,000. At the time of the announcement, the company estimated that those shares would represent 15.6% of shares upon closing. The closing announcement confirmed that Denarius received 40,000,000 shares, while subsequent disclosures showed Frank Giustra’s stake at 12.06% on an undiluted basis and 15.55% on a partially diluted basis. Denarius, Giustra and Ian Harris also agreed to two-year lock-up arrangements linked to the financing. These details set out the lead investor’s participation and the share-retention arrangements within the transaction, without changing the stated use of proceeds: supporting Mocoa’s exploration and development.

Under the Trafigura agreement, the company has the right and obligation to purchase 20% of the project’s copper deposit and 20% of its molybdenum deposit. Its 10-year term begins when commercial production starts, not when the agreement is signed. The agreement is subject to minimum delivery volumes, and Trafigura has the right to extend the term if that threshold is not met. The arrangement therefore covers a defined portion of the two deposits, not the project’s entire output. Ian Harris said the partners bring together operating expertise in Colombia, market access and a long-term relationship, “at a pivotal moment for copper and Colombia.” He described the agreement as a long-term route to global markets, while Trafigura official Edmundo Vidal said the deal reflected confidence in the project and a strategy of connecting producers with customers.

Copper Giant allocated the proceeds to accelerate exploration and development at Mocoa, a copper and molybdenum project in Colombia’s Putumayo region, including district-scale exploration and general purposes. The financing comes as work continues to define the resource’s scale and the project’s potential. In the resource estimate effective September 24, 2026, the average grade of indicated resources was about 0.54% copper equivalent, compared with 0.40% for inferred resources. The estimate included 8,546 metres of drilling since the 2025 estimate, but excluded about 10,000 additional metres completed after the data cut-off date. On October 14, Harris said the company began 2026 with two drill rigs and was now operating four, adding that about 10,000 metres of drilling were not included in the estimate figures. These figures point to the drilling program continuing alongside preparation of the project’s economic assessment.

An independent geophysical study, whose results were announced on September 16, broadened the search beyond the known resources. The study covered an area of 81 square kilometres and identified 17 target areas, including 13 outside the current resource and its interpreted extensions. The two highest-ranked areas outside the resource lie 433 metres northeast and 1,304 metres southwest of it. According to the company, these targets are within the Mocoa–La Estrella corridor, which extends 1.7 kilometres south of the last undrilled hole. The results provide context for funding broader exploration, but remain study-defined targets rather than declared mineral resources.

The next announced step is to submit the preliminary economic assessment for the Mocoa project during the fourth quarter of 2026. Copper Giant said the assessment would be the first study of the project’s development case and would be based on the resource estimate effective September 24, 2026. Harris had linked the financing to completing the assessment and accelerating the next phase toward a construction decision. The assessment will therefore provide the initial framework for studying project development after the financing and resource update, while the start of commercial production remains a later condition for the Trafigura supply agreement’s term to begin.
