CMS Energy Plans to Use Bond Proceeds to Repay $625 Million of 2027 Debt
Key Facts
CMS Energy set Nov. 3, 2026, as the settlement date for its bond offering, after trading began on Oct. 29, according to the final term sheet filed with the U.S. Securities and Exchange Commission. The company plans to use net proceeds, estimated at about $990 million after underwriting commissions and before offering expenses, to repay debt due in 2027 and for general purposes. The debt it intends to repay includes $275 million of senior notes bearing interest at 2.95% and due in February 2027, and another $350 million bearing interest at 3.45% and due in August of the same year. The company said in the prospectus that it intends to repay these obligations "at or before maturity." This use allocates a specified portion of the proceeds to refinancing existing obligations, alongside general expenses that the company did not detail in the prospectus.
The new notes are unsecured obligations of the company and rank behind its senior debt, according to the prospectus. They are also effectively subordinated to obligations of its subsidiaries, because creditors of those subsidiaries have priority over noteholders in claims on subsidiary assets. CMS Energy had about $2.975 billion of unsecured senior debt as of September 30, 2026, according to the filing. Debt at its subsidiaries totaled about $14.202 billion on the same date; the prospectus described that debt as effectively senior to the new notes. The notes rank equally with the company's other parity-ranking subordinated debt securities, according to the offering terms.
The company says interest is payable semiannually on Jan. 1 and July 1, with the first payment due on July 1, 2027, unless deferred. The offering terms allow CMS Energy to defer interest payments for up to 20 consecutive semiannual periods, according to the prospectus, provided no event of default is continuing. The terms also allow the company to redeem the notes at its option during a period beginning 90 days before the first reset date on July 1, 2032, and on interest payment dates after that date. In the specified cases, the redemption price is 100% of the principal amount, plus accrued and unpaid interest, under the prospectus terms. These provisions set out the cash flow schedule and the company's rights concerning the notes over the life of the offering.
The prospectus said the notes do not have an established trading market and that the company does not intend to seek their listing on an exchange or securities trading system. The term sheet listed expected ratings of Baa3 from Moody's, BBB- from Standard & Poor's and BB+ from Fitch, each with a stable outlook. On company performance, CMS Energy reported adjusted earnings per share of $1.44 in the third quarter of 2026, compared with $0.93 in the same period of 2025. The company attributed the difference between reported and adjusted results to asset impairments and restructuring activities related to its NorthStar Clean Energy unit. It also reported operating revenue of $2.183 billion in the third quarter, versus $2.021 billion a year earlier. The company maintained its adjusted earnings-per-share outlook at $3.83 to $3.90 in 2026 and $4.08 to $4.17 in 2027, along with its long-term growth outlook of 6% to 8%.
CMS Energy shares closed at $70.76 in the Nov. 2, 2026, session, according to EL7 daily data. The closing session came before the offering's scheduled settlement date of Nov. 3, 2026. The EL7 data cited here do not include a session high or low, while the company has not disclosed any intention in the cited filings to list the notes for trading on a securities market. The announced interest payment dates remain subject to the offering terms, which allow payments to be deferred. The proceeds will be used in part to repay the February and August 2027 notes at or before maturity, as well as for the company's general purposes.
