cbdMD announced on November 2, 2026, that it had completed its acquisition of Twinlab’s operating assets, expanding its portfolio of wellness products and dietary supplements. The assets include the Twinlab, Reserveage, Metabolife and ResVitale brands, according to a company statement published by ACCESS Newswire. The assets were transferred through a Florida assignment for the benefit of creditors proceeding under Chapter 727. The company said the combined portfolio expands its presence in retail and direct-to-consumer channels. The deal is also intended to reduce its reliance on hemp-derived products, according to the statement.

Twinlab’s filing with the U.S. Securities and Exchange Commission put the consideration at $3,979,805. It consists of the acquiring company’s assumption of $1,750,000 in secured debt and the issuance of 2,229,805 cbdMD shares to secured creditor Akretive. The contractual price per share is $1, and the shares represent 19.9% of the shares outstanding when the agreement was signed on September 1, 2026. The number of shares could increase if the number of shares outstanding rises before the deal closes. The debt is due two years after issuance and carries annual interest of 9%, according to the filing.

The deal brings the new supplement brands together with cbdMD’s existing brands: cbdMD, Paw CBD, Oasis and Bluebird Botanicals. The company said the Twinlab brands have a long history in vitamins and dietary supplements. It said the acquired brands operate outside the hemp category, reducing its exposure to changes in federal and state regulation of hemp products. The shift comes as the company has pointed to uncertainty over the effect of new federal legislation on hemp-derived products. The legislation sets a limit of 0.4 mg of tetrahydrocannabinol per package, with the limit taking effect on November 12, 2026.

cbdMD said most of its revenue in the quarter ended December 31, 2025, came from products that comply with the legislation’s tetrahydrocannabinol content limits. But it said a meaningful portion of revenue could be affected if the rules do not change. It added that the law’s ultimate effect remains uncertain and that enforcement as written could materially harm its business, results and financial condition. Adding brands that operate outside the hemp category would expand the range of products that do not depend on it. That gives the deal a dimension beyond adding new names to the company’s portfolio, as cbdMD presented it in its filings.

The company said the acquired brands have received limited marketing investment in recent years. It added that its in-house creative and performance marketing team would support the brands after the assets transfer. Improving marketing is one of the potential benefits the company cited, alongside expanding retail and direct-to-consumer channels. cbdMD acquired the Bluebird Botanicals brand in January 2026, and said it could generate an estimated $500,000 in revenue per quarter, with opportunities for growth. That earlier acquisition provides context for the portfolio expansion, while the statement completing the Twinlab deal did not provide a comparable revenue estimate for the four brands.

cbdMD expects to launch new products and refresh brand experiences across its portfolio in the coming months. It also said it would provide further details on integration progress and the outlook for the combined businesses in its periodic reports and upcoming earnings communications. The purchase agreement requires the company to call a shareholder meeting within 270 days of closing if NYSE American rules require shareholder approval for the share issuance. If it does not obtain approval, it must continue seeking it at intervals no longer than four months. YCBD shares closed at $0.3967 on November 2, 2026, according to EL7 daily data.

The consideration goes to Akretive as the secured creditor, not to Twinlab or the assignment estate, according to the deal filing. Twinlab said it does not expect its shareholders to receive any compensation for their shares and that it is evaluating its ability to continue as a going concern amid its obligations to creditors. The initial filing did not include the transaction’s pro forma financial information exhibits. The company said it intends to file them in an amendment to the report no later than 71 calendar days after the report’s due date. Details of the integration and the combined businesses’ financial performance remain among the matters cbdMD said it would cover in upcoming filings and earnings communications.
