tZERO Moves Toward Listing at $350 Million Equity Valuation Through FG Imperii Merger
Key Facts
tZERO Group and FG Imperii Acquisition Corp. announced a definitive business combination agreement on November 2, 2026, clearing the way for the combined company to list on the NYSE American under the ticker TZRO. The agreement sets tZERO’s pre-deal equity value at $350 million, including up to $25 million contingent on achieving specified milestones. The combined company could receive about $231 million from FG Imperii’s trust account at closing, but the amount remains subject to shareholder redemptions and is before transaction expenses. tZERO said the deal is intended to establish an independent presence as a public company and support the expansion of its infrastructure. The company said shareholders representing about 62% of its fully diluted capital had signed support agreements.
The structure separates the company’s valuation from the liquidity the deal may provide: the $350 million figure is a pre-merger equity valuation, not guaranteed cash proceeds for tZERO. The trust account, which could provide up to about $231 million, may shrink if FG Imperii shareholders redeem their shares, and it does not include transaction expenses. The announcement said FG Merchant Partners, an affiliate of Fundamental Global, had agreed to enter into a forward purchase arrangement, subject to definitive documentation, covering up to 2.5 million shares. The announcement does not state a cash value for the arrangement or confirm its completion. The combined company’s final available resources will therefore depend on redemptions, costs and completion of the conditional arrangement.
The companies said net proceeds from the transaction are expected to strengthen tZERO’s balance sheet and expand its regulated technology and infrastructure, while accelerating commercial growth and supporting new products and strategic partnerships. They also allocated a portion of the proceeds for general corporate purposes. Through its regulated subsidiaries, tZERO provides securities infrastructure that includes a broker-dealer registered with the U.S. Securities and Exchange Commission and a member of the Financial Industry Regulatory Authority, as well as an alternative trading system operating under Regulation ATS. Its services also include transfer agent registration, brokerage, custody and settlement for traditional and tokenized securities. The company says this range of services brings regulated offerings together in one infrastructure to support trading in tokenized and traditional financial assets.
The company’s business also extends to derivatives: tZERO says it has a futures commission merchant registered with the Commodity Futures Trading Commission and a derivatives clearing organization, while its application for designated contract market status remains under review. The company said that status, if granted, is expected to allow it to bring regulated derivatives onto its platform this year. In its materials, tZERO describes a three-part model comprising token issuance, secondary-market trading through its system, and connections for institutional partners through application programming interfaces and white-label solutions. It says its alternative trading system has supported secondary trading in digital securities since 2019, including tokenized equities, debt instruments and other real-world assets. In its 2025 review, it said it aimed to build partnerships, increase platform liquidity and expand beyond its U.S. focus on tokenized securities, while working toward a potential public-company presence.
FG Imperii originated as a listed special purpose acquisition company that raised $227.5 million through its public offering and over-allotment option and placed the funds in a trust account, according to its quarterly report through June 30, 2026. The company recorded net income of $3,347,053 for the six months ended on that date, supported by $3,556,147 in investment income from the trust account and offset by $209,094 in general and administrative expenses. These figures show that the company’s income during the period was primarily tied to investments of trust funds, while the account represents the potential source of liquidity upon completion of the merger. tZERO expects the deal to close in early 2027, subject to shareholder and regulatory approvals, the effectiveness of a registration statement on Form S-4, and NYSE American’s approval of the share listing. The companies said the definitive agreement and investor presentation will be included in FG Imperii’s report on Form 8-K filed with the U.S. Securities and Exchange Commission.
