SS&C Allocates $240 Million and Launches $500 Million Add-On Loan Arrangement
Key Facts
On November 2, SS&C announced an additional $240 million allocation of A tranche loans to lenders and a $400 million increase in commitments under its revolving credit facility. Separately, the company launched an arrangement for an additional B loan with an aggregate principal amount of $500 million. The company said the loan proceeds, together with additional long-term debt it expects to incur soon, will be used for general purposes, including refinancing $2 billion of outstanding notes. Those notes mature on September 30, 2027, and carry interest at 5.500%. The company did not announce completion of the B loan arrangement or closing of the transaction, as the announced steps remain part of a proposed financing.
The plan targets extending the maturity of both the A loan facility and the revolving facility to November 2031, according to the company’s expectations. The outstanding balance of A-9 loans was $765 million on June 30, 2026, with maturity scheduled for September 27, 2029. Commitments under the revolving facility then totaled $600 million, of which $363.4 million was available to draw. The facility included a $75 million letter-of-credit sublimit, of which $6.6 million had been used. The proposed transaction therefore includes an increase in revolving commitments and an extension of their maturity, but the extension remains expected rather than completed pending closing of the transactions.
If all transactions close on the announced terms, SS&C expects A loan principal to total $1 billion and revolving facility commitments to reach $1 billion. It also expects B loan principal to total approximately $4.247 billion. Data as of June 30, 2026, show outstanding B-8 loans of $3.8619 billion, with maturity set for May 9, 2031. The post-closing figures represent total amounts for the financing categories and do not mean the additional $500 million of B-8 loans has already been raised. Reaching those amounts depends on completing the transactions announced by the company.
The proposed refinancing comes after the company ended the third quarter of 2026 with $525.4 million in cash and cash equivalents and total debt of $7.4835 billion. Net leverage, as defined in the credit agreement, was 2.63 times on September 30. For the nine months ended on that date, net cash provided by operating activities was $1.2163 billion, compared with $1.1013 billion in the same period of 2025, an increase of 10.4%. The company also reported third-quarter revenue of $1.69 billion, up 7.8% year over year, and record adjusted earnings before interest, taxes, depreciation and amortization of $674.8 million. These results provide financial context for the debt maturity management plan, while the specific purpose cited by the company remains general use and refinancing the notes.
SS&C said more than 23,000 financial services and healthcare organizations rely on its expertise, scale and technology. Annual revenue rose to $6.2722 billion in 2025 from $5.882 billion in 2024, a growth rate of 6.6%. The company also generated $1.7448 billion in cash from operating activities in 2025, compared with $1.3886 billion in 2024 and $1.2151 billion in 2023. SSNC shares closed at $80.39 on October 30, 2026, according to EL7 data. The announced transaction does not include a share price or another immediate market impact.
Execution of the financing remains subject to market conditions and other terms, including the negotiation and signing of final documentation. SS&C expects the transaction to close in the fourth quarter of 2026, without specifying a date. This includes completing the B loan arrangement, the maturity extensions and the announced increase in the revolving facility. Until closing, the expected financing amounts and the November 2031 maturity remain subject to satisfaction of the conditions. The expected timing follows the company’s publication of its third-quarter results on October 22, 2026.
