KAZR shares closed at $1.63 on October 30, 2026, according to EL7 data, after Skyline Builders Group Holding Limited and Cove Kaz Capital Group announced they had terminated their business combination agreement. The deal was intended to bring the two parties together under a new company structure named Kaz Resources Inc. It was expected to close in the fourth quarter of 2026 or early 2027, subject to closing conditions including shareholder and regulatory approvals and the effectiveness of a registration statement. The termination ends a process that would have made Cove Kaz the parent company upon completion of the deal. The available market statement did not include documented details on the stock’s intraday movement beyond its closing price.

The agreement was part of a plan to develop tungsten assets in Kazakhstan, as the Severniy Katpar assets include the Northern Katpar and Upper Kairakty projects. Feasibility studies estimated the two projects’ combined output at about 12,000 metric tons annually. In an update published by Skyline in August, the company said planned production was 12,000 metric tons per year and estimated the mine life at more than 50 years. Before announcing the merger, the company said it had begun preparing the Northern Katpar site to support the final drilling work required for the definitive feasibility study. These steps link the project to the development and feasibility-study stage, while the figures cited remain estimates disclosed by the company.

Skyline disclosures showed that Cove Kaz’s previous financing included convertible loan facilities of up to $45 million. A total of $23.1 million was drawn under the facilities on April 22, 2026, followed by an additional $21.9 million on June 10, completing the total disclosed commitment. These facilities differ from new financing mentioned in the initial report, as the available evidence contains no documented details on any new commitment or its terms. The company also said Skyline subscribed for an approximately 20% membership interest in Kaz Resources LLC for $20 million, subject to regulatory approval. These figures describe the financing and ownership associated with the previous arrangement, without resolving their status after the merger agreement was terminated.

The project plan also included two publicly disclosed letters of interest for financing from U.S. institutions. Skyline said EXIM issued a letter of interest for financing of up to $900 million, and the U.S. International Development Finance Corporation, or DFC, issued a letter of interest for up to $700 million. The two letters were described as indications of interest, not as disbursed or confirmed financing. Skyline had begun trading under the KAZR ticker on Nasdaq on June 17, 2026, before completion of the proposed merger. Trading under the ticker therefore began before the deal that would have changed Cove Kaz’s legal structure and the name of the proposed parent company was completed.
