3Autoneum expects recurring annual savings of more than CHF 50 million by 2029, following restructuring costs of about CHF 60 million in 2027 and 2028.
4Autoneum expects to complete the deal at the beginning of the first quarter of 2027, subject to consultation with employee representatives and customary regulatory approvals.

Autoneum announced an agreement to acquire Trèves, a supplier of sound and thermal insulation solutions and interior and trunk fittings, according to an Autoneum announcement carried by MarketScreener. The Swiss company expects the two businesses’ combined revenue on a pro forma basis to exceed CHF 2.9 billion in 2026. That would put the combined entity’s projected revenue above the annual revenue range Autoneum reaffirmed for itself, of CHF 2.2 billion to CHF 2.4 billion in 2026. The deal comes as the company expects global light vehicle production to decline 2.1% in the same year. Autoneum said the acquisition would be accretive to earnings per share from 2028.

Initial consideration is about €40 million, comprising newly issued Autoneum shares and about €7.5 million in cash, under the terms of the agreement cited by the company. It could be supplemented by contingent consideration of up to €24 million, bringing the total consideration cap, including that amount, to €64 million. Payment of the additional amount is tied to the deal’s conditions, but the available quotation does not detail those conditions. The consideration structure means the initial payment combines a share issuance with a defined cash component, while leaving part of the consideration contingent. The available information does not provide a timetable for payment of the additional consideration beyond noting that it could become payable through 2029.

Autoneum expects total restructuring costs of about CHF 60 million in 2027 and 2028. It is targeting recurring annual savings of more than CHF 50 million by 2029. The company attributed the savings to improving its production network, reducing administrative and commercial expenses, and benefiting from lower-cost procurement. The savings timeline extends beyond the restructuring-cost period set out by the company, making 2029 a key date in its estimates of the merger’s impact. These figures remain estimates announced by Autoneum as part of the deal details.

Autoneum’s latest results provide context for the company’s performance before the deal: consolidated revenue was CHF 1,155.0 million in the first half of 2026, down 1.4% from the same period. Over the same period, the EBIT margin rose to 6.0%, compared with 5.3% in the first half of 2025. The company reaffirmed its annual revenue range of CHF 2.2 billion to CHF 2.4 billion for 2026 and raised its EBIT margin forecast to between 5.7% and 6.2%. The forecasts came as Autoneum estimated that global light vehicle production would fall 2.1% during the year. According to the company, the combined entity’s pro forma revenue could exceed CHF 2.9 billion in 2026.

Autoneum expects to complete the deal at the beginning of the first quarter of 2027, subject to completing consultation with Trèves employee representatives and obtaining customary regulatory approvals. After completion, the company expects the acquisition to be accretive to earnings per share from 2028, while targeting recurring annual savings of more than CHF 50 million by 2029. The company lists publication of its 2026 full-year revenue on January 21, 2027, followed by its annual report on March 11, 2027. The full-year revenue date provides a subsequent update to its forecasts before the annual report is issued. The deal completion timetable remains subject to the conditions it announced, including consultation and regulatory approvals.
