Strive Buys 6,182 Bitcoin, Lifting Holdings to 43,000 With a Fair Value of $3.5 Billion
Key Facts
In a filing with the U.S. Securities and Exchange Commission on October 26, Strive said it bought 6,182 Bitcoin between October 17 and 23 at an average price of about $82,732 per coin, including fees and expenses. The purchase lifted its holdings from 36,818 Bitcoin on October 16 to 43,000 on October 23. The new balance has a fair value of $3.5 billion, compared with a total acquisition cost of $3.8 billion, according to a prospectus supplement. The filing means the $82,732 average applies only to the week's purchases, not the company's entire balance. The average acquisition cost of the full holding was $87,785 per Bitcoin, including fees and expenses.
The figures show the company's holdings expanded rapidly in October. On September 30, Strive disclosed that it held 28,000 Bitcoin at an average cost of $90,170 and said it had bought 8,137 Bitcoin during the third quarter at an average cost of $78,885. In a filing dated October 5, it announced the purchase of 2,000 Bitcoin between September 28 and October 2 at an average price of $84,422, lifting its holdings from 27,462 to 29,462 Bitcoin. It then disclosed on October 14 that it had bought 2,822 Bitcoin between October 12 and 13 at an average price of $83,266. These filings show the sequence of purchases that preceded the latest batch, while cost figures differ according to the period covered.
The larger balance coincided with cash and cash equivalents rising from $317.5 million on October 16 to $504.4 million on October 23, an increase of $186.9 million. The number of common shares actually outstanding also rose from 124,064,126 to 127,328,346 over the same period, an increase of 3,264,220 shares. The filing also showed 7,000,000 shares of its SATA preferred stock outstanding on October 23, after there had been no shares of that class on October 16. On October 12 and 13, the company exercised 273,493,909 traditional warrants covering 13,674,703 shares, with expected gross proceeds of $369.2 million. The figures depict the financing of the Bitcoin-holdings expansion through multiple capital instruments, alongside a higher cash balance.
The context for Strive's current holdings extends to its acquisition of Semler Scientific, which was completed on January 16, 2026. Strive said when the deal closed that its holdings stood at about 12,797.9 Bitcoin. The acquisition added Semler's existing Bitcoin reserve to the company's assets, along with Semler's operating business in products and services for assessing and treating chronic diseases. Semler had disclosed that it held 5,048 Bitcoin on September 30, 2025, including 315 Bitcoin pledged as collateral, at a total acquisition cost of $478.9 million. Strive later recorded the acquired digital assets' fair value at $444.029 million and said the deal generated a $66.7 million bargain-purchase gain under its accounting.
In its SATA prospectus, Strive said its initial public offering closed on October 20 and that net proceeds may be used, among other purposes, to buy Bitcoin and related products. The prospectus allows for the offering of up to $1 billion in aggregate value of preferred stock through sales from time to time, with proceeds available for purposes including the purchase of Bitcoin or as otherwise determined by management. It also provides for regular cumulative cash dividends at an annual rate of 15% of the stated value, with scheduled payment dates beginning on November 9, subject to declaration by the board. The company's holdings expanded during October as the number of outstanding common shares increased, developments the filing places in the context of raising capital and funding the strategy. Previously stated targets of 10,000 Bitcoin by the end of 2025, 42,000 by the end of 2026 and 105,000 by the end of 2027 belonged to Semler before its merger and are not current Strive projections.
The cost of the week's purchases differs from the average acquisition cost of the full balance, while data for October 30 show Bitcoin closed at $77,368.77. On the same day, Strive shares, trading under the ticker “ASST,” closed at $22.2. The stock's close came after the company's October 26 filing and does not in itself directly measure the market's response to the announcement. In merger documents, Semler had also noted that Bitcoin generates no interest or yield merely by being held, and that generating cash requires selling it or establishing sources of income. It recorded changes in Bitcoin's fair value in its 2025 financial results as a decrease of $41.8 million in the first quarter, followed by increases of $83.8 million in the second quarter and $30.0 million in the third quarter.
