Pegasystems Paid $7 Million to Shareholders and Closed Governance Lawsuits in 2026
Key Facts
Pegasystems made a special cash distribution totaling $7 million on September 16, 2026, completing the distribution provision of a settlement in shareholder derivative lawsuits. The company set the rate at about $0.083 per share after announcing the decision on August 14; shareholders of record on August 17 were eligible, except for specified parties to the agreement. The company said in a statement that the settlement included governance reforms and payment of the special distribution. In its filing with the U.S. Securities and Exchange Commission, it said the distribution payment "concluded the matter" related to the settlement. The distribution and settlement had therefore been completed before the news was published on November 1; this was not a new announcement on that date.
The Massachusetts Superior Court had granted final approval of the settlement on June 30, 2026. The order provided for a $7 million distribution to shareholders, excluding defendants, and for the company to pay $2.75 million in plaintiffs’ attorneys’ fees. The financial consideration was part of an agreement under which Pegasystems agreed to governance reforms and the cash distribution. Steps to close the lawsuits continued after court approval, with separate dismissal orders issued in state and federal courts. This sequence defines what was actually closed: the shareholder derivative lawsuits covered by the settlement, not every legal dispute facing the company.
On July 2, the state court entered a final judgment dismissing the consolidated lawsuits with prejudice. The federal court then signed an order on July 16 dismissing the derivative lawsuit before it, also with prejudice. The settlement-related appeal period ended on July 25, according to the company. Pegasystems then paid the distribution on September 16 and said the payment concluded the matter related to the settlement. These dates mark separate stages: final approval, dismissal of the lawsuits, the end of the appeal period, and then payment of the distribution.
In a separate legal matter, parties to securities lawsuits who had chosen not to join the class action reached a final settlement on September 18, 2026. Notices dismissing those lawsuits were filed on October 5, with prejudice. These proceedings are separate from the shareholder derivative lawsuits covered by the June settlement, although they also concern securities claims against the company. Operationally, third-quarter results showed revenue of $393.359 million, up 3% from $381.350 million in the same period of 2025. Pega Cloud revenue rose 19% year over year, while annual contract value increased 20% through September 30.
By contrast, net income under U.S. generally accepted accounting principles (GAAP) fell to $14.092 million in the third quarter from $43.364 million a year earlier, a decline of 68%. The company’s shares, which trade under the ticker PEGA, closed at $33.93 on October 30, according to EL7 data. The figures come as the company continues to face a separate dispute with Appian, which is not covered by the closure of the shareholder lawsuits. On October 16, the court allowed Appian’s reasonable royalty damages theory to proceed. Appian is seeking $284.6 million for the marketing and sales activities at issue and $1.36 billion for modifications to the Pega platform.
The jury trial in the Appian dispute was scheduled to begin on November 30, 2026, according to a Pegasystems filing. The company said it could not estimate the likelihood of success or the range of potential losses and gains in the case because of uncertainty. The scheduled trial puts the dispute on a separate track from the shareholder lawsuits dismissed after the settlement. Appian’s monetary claims remain part of the case set for trial, according to the filing. The filing did not provide the company’s estimate of the likely outcome of the dispute.
