BioXcel Therapeutics’ board appointed restructuring officer Samir Salim as the company’s president and secretary, making him its principal executive officer effective at 5:00 p.m. Eastern Time on October 31, 2026, according to a company filing with the U.S. Securities and Exchange Commission. The change came after the company completed the sale of most of its neuroscience assets to Teva, as it works to wind down its affairs. Effective at the same time, the company also ended the positions and employment agreements of Chief Executive Officer and President Vimal Mehta, Chief Financial Officer Richard Steinhart, Chief Scientific Officer Frank Yocca, and Chief Legal Officer and Secretary Javier Rodriguez. Salim will continue serving as chief restructuring officer alongside his two new roles. The filing did not describe these steps as the start of a formal cessation of operations; a name change and planned liquidation remain upcoming steps.

Under the deal completed on October 26, Teva acquired most of BioXcel’s neuroscience assets, including the rights to IGALMI and BXCL501 and the intellectual property related to them. The bankruptcy court had approved the sale on October 21, after a bid solicitation process yielded no other qualified bids. The debtors then canceled the auction and selected Teva as the winning bidder, according to the filing. The company and its subsidiaries filed voluntary petitions for Chapter 11 protection in the U.S. Bankruptcy Court for the District of Delaware on August 27, 2026. The sale is central to the company’s reorganization in bankruptcy proceedings.

Teva paid $57.5 million in upfront cash consideration at closing, from which a previous deposit of $5.75 million was credited, according to the filing. BioXcel retained the rights to BXCL701 and BXCL702, meaning the deal transferred most of its neuroscience assets to the buyer while leaving those two assets with the company. Proceeds from the sale were used at closing to repay debtor-in-possession financing obligations, with some amounts retained to fund the liquidation of the debtors’ estates. Accordingly, the sale proceeds alone do not represent cash available to the company without obligations, the filing said. The value BioXcel may realize from the retained assets will remain tied to the specific conditions for each.

The agreement includes the possibility of BioXcel receiving a development payment of up to $67.5 million, contingent on U.S. Food and Drug Administration approval of the pending supplemental application for IGALMI for at-home use. If approval is not granted by February 28, 2027, commercial payments of up to $20 million in total may become payable, in installments of $10 million when the drug’s annual net sales for at-home use reach $250 million and then $500 million. The agreement requires both sales thresholds to be met no later than December 31, 2035. These amounts remain contingent on regulatory approval or the specified sales levels and are not part of the cash consideration paid at closing. This leaves some potential returns tied to IGALMI’s performance after its assets transfer to Teva.

Alongside the leadership transition, Mehta will remain a board member and receive $5,000 per month for his service as a director beginning November 1, 2026, until his service ends or the company is dissolved, whichever comes first. The board authorized a change of the company’s name to BX Liquidation, Inc., with an amendment certificate expected to be filed in November ahead of the planned liquidation. The filing said shareholder approval for the name change is not required under Delaware corporate law. In trading, Nasdaq suspended trading in the stock on September 8, 2026, and it began trading on the OTC Pink market under the ticker BTAIQ. The stock closed at $0.013 on October 30, while Nasdaq had not filed a Form 25 delisting notice as of the report date.
