Xcel Energy Allows Sale of $6 Billion in Shares Under New Program
Key Facts
Xcel Energy entered into a new distribution agreement that allows it to offer and sell up to $6 billion in aggregate common stock, according to a company filing with the U.S. Securities and Exchange Commission published on October 30, 2026. The agreement gives the company a channel to offer shares through sales agents and also allows it to enter into forward sale agreements. The filing follows the company’s third-quarter results by one day and comes as it has announced a capital spending plan covering 2027 to 2031. The company estimated that equity issuance would account for $8 billion of the plan’s funding. Chief Executive Bob Frenzel said the updated five-year investment plan provides “a clear path to continue our growth cycle and deliver the reliable, affordable energy our customers need.”
The new program replaces a distribution agreement dated May 1, 2026, which the company terminated, while shares with an offering value of approximately $448.6 million remained unsold under the previous arrangement. Terminating the agreement did not cancel the associated forward sale agreements; shares with an offering value of approximately $3.8 billion remained subject to existing agreements. Forward sale agreements from an older program, which had been terminated before the May agreement, also remained in place and covered shares with an offering value of approximately $2.2 billion. These amounts show that the new program’s $6 billion cap is in addition to previous forward sale arrangements that remain outstanding. The filing does not specify that proceeds from the new program are directly earmarked for the capital spending plan.
The agreement provides for sales through sales agents or sales of shares to them as principals, and also permits the arrangement of forward sale agreements. Sales agents’ commissions can reach 1.00% of the gross sale price per share when shares are sold through them as agents. The mechanism is part of a capital funding plan that Xcel Energy estimated at approximately $70 billion during 2027–2031. Expected funding comprises $35.81 billion from operating cash flow, $26.19 billion from new debt and $8 billion from equity issuance. Equity is therefore one of three funding sources the company identified for the period, while the agreement allows shares to be sold in stages under its terms.
The largest share of core capital expenditures is directed toward renewable energy, at $21.36 billion over the period, followed by $18.56 billion in electric transmission investments. The plan also allocates $13.66 billion to electric distribution. These investments coincide with growth in the company’s ongoing earnings in the third quarter of 2026 to $961 million, or $1.52 per share, compared with $737 million and $1.24 per share in the same quarter of 2025. The company attributed the improvement in ongoing earnings per share mainly to higher recovery of costs for electric infrastructure investments, equity investment earnings and warmer-than-normal weather. Higher financing costs partly offset the improvement, according to the results statement.
Third-quarter revenue was $4.17 billion, up 6.6% from $3.92 billion in the same period of 2025, but below analysts’ estimate of $4.26 billion. Adjusted earnings, meanwhile, were $1.52 per share, beating the average forecast of $1.37 by $0.15. Weather-adjusted retail electricity sales rose 3.0% year over year, while actual sales increased 7.3%. After the results were announced on October 29, the stock rose 2.4%, according to a Reuters report published via Investing.com. The stock closed at $79.04 that day, according to EL7 data.
The company narrowed its 2026 ongoing earnings guidance to $4.10–$4.16 per share, compared with the original range of $4.04–$4.16. It also issued its first forecast for 2027 ongoing earnings, at $4.48 to $4.62 per share, and expected weather-adjusted retail electricity sales to rise about 5% that year. Over the longer term, the company is targeting annual earnings-per-share growth of 6% to 8% or more, with annual dividend increases of 4% to 6%. These forecasts place the funding and investment plan within a financial trajectory extending beyond the current year. The announced capital plan covers five years, from 2027 to 2031.
