Swedish approval for Netel-Infrea merger paves the way for asset transfer on November 4
Key Facts
On October 30, 2026, the Swedish Companies Registration Office authorized the implementation of the merger plan between Netel Holding and Infrea, according to an official statement issued by Netel. The company said final registration of the merger is expected on November 4. Upon registration, Infrea will be dissolved and all its assets and liabilities will transfer to Netel. The decision puts the transaction in its final stage after the required regulatory approvals were completed, which the companies announced they had received on July 23. Final registration and Infrea’s legal dissolution had remained pending approval.
The expected timeline includes November 3 as the last day of trading in Infrea shares on Nasdaq Stockholm, ahead of their delisting when the merger is completed. Shareholders registered in Infrea’s shareholder register on November 5 will be entitled to the consideration. Under the merger plan, they will receive 17 new Netel shares for every 4 Infrea shares. Netel said shareholders will not need to take any action to receive the shares. The consideration shares are expected to be distributed and trading in the new shares to begin on November 9.
The boards of both companies approved the joint merger plan, which they announced on June 15, 2026, as a statutory merger under Swedish company law. Netel’s extraordinary general meeting approved the plan on August 21 and authorized the issuance of up to 119,585,679 shares as merger consideration. The announcement valued Infrea at approximately 417 million Swedish kronor, after adjusting the consideration for Netel’s new share issues. The merger prospectus said the consideration implied a premium of approximately 12% to Infrea’s closing share price of 13.20 kronor on June 12. By contrast, it represented a discount of approximately 8% to the volume-weighted average price over 90 trading days, which stood at 16.11 kronor as of the June 15 announcement.
Netel says the combined entity will generate revenue of approximately 5 billion Swedish kronor and employ slightly more than 1,200 people in Sweden, Norway and Germany. The company described the merger as part of a cost-cutting program that it expects to deliver savings of 15–25 million kronor when the full effect is reached in 2027. It added that combining the companies will enable it to undertake larger and more complex projects, while increasing its capacity to complete a greater number of smaller tasks. The share deal forms part of an effort to expand the group’s infrastructure services across Northern Europe. These figures remain Netel’s estimates for the combined group after the merger.
The merger comes as the companies’ businesses face mixed operating conditions. In its third-quarter results, Infrea said its paving operations continued to perform strongly, while parts of its land and civil engineering business faced a more challenging market. Malmö also awarded Infrea subsidiary Jonab a land and civil engineering contract worth approximately 90 million kronor, covering 2026 and 2027. Netel’s order backlog stood at 3,673 million kronor in the period from July to September 2026, compared with 3,699 million in the same period a year earlier. Netel also announced that its rights issue ahead of the merger was oversubscribed, raising 140 million kronor.
In its outlook, Netel said it no longer expects the group to grow in 2026, citing changes in Norway’s telecommunications market occurring faster than planned. The company left unchanged its expectation of improved margins during the year. The market is now watching for the steps set out in the timeline: final registration and Infrea’s dissolution on November 4, followed by the determination of eligible shareholders on November 5. Infrea shares are expected to stop trading on the day before final registration. Netel expects the distribution of its new shares and the start of trading in them on November 9.
