DoubleVerify Posts $205.638 Million in Third-Quarter Revenue, Up 9%
Key Facts
DoubleVerify reported revenue of $205.638 million for the third quarter ended September 30, 2026, up 9% from $188.621 million a year earlier, according to results announced by the company on October 30. Net income was $15.9 million, while adjusted EBITDA reached $75.4 million, with a 37% margin. The results came as the company proceeds with its acquisition by Nielsen, after shareholders approved the merger agreement at a special meeting held on October 29. The company said about 94% of votes cast supported the agreement, representing more than 75% of outstanding shares as of the record date. DoubleVerify is targeting completion of the deal by the first quarter of 2027, subject to customary closing conditions.
Revenue growth extended across the company's three segments, though at varying rates. Activation revenue was about $117.6 million, up 10% year over year, the fastest pace among the segments cited. Measurement posted $69.1 million, up 8%, while Supply-side revenue was about $18.9 million, an increase of 5%. Within Measurement, social measurement revenue rose 20%, while international measurement revenue increased 16%. The results show growth across different revenue streams, with social and international measurement expanding faster than the Measurement segment overall.
In connected TV, the volume of measured media transactions rose 22% during the quarter, the company said. The metric came alongside growth in social and international measurement revenue, while total Measurement revenue increased 8%. Activation also grew 10%, compared with 5% for Supply-side. The company announced the launch of Ask Neura, a conversational AI experience embedded in DV Pinnacle. It also made media quality measurement available on TikTok Pangle globally and launched tests for attribution and brand suitability measurement for ChatGPT ads.
Cash stood at about $251 million on September 30, and the company had no outstanding debt. DoubleVerify, meanwhile, suspended future earnings and investor calls for the duration of the deal and withdrew all previously issued financial forecasts and guidance. It therefore reported quarterly results without reissuing guidance for future periods. Nielsen and DoubleVerify expect the combined entity to generate more than $4 billion in pro forma revenue, with solutions reaching companies representing more than $300 billion in advertising spend. Those projections are tied to completion of the deal and formation of the combined company.
Under the agreement, DoubleVerify shareholders will receive $13.60 in cash per share, valuing the company at about $2.15 billion on an enterprise basis. The consideration represents a 30% premium to the volume-weighted average price over the 60 sessions through August 5, 2026. Shareholders approved the agreement in the October 29 vote, with about 94% of votes cast in favor; those votes represented more than 75% of outstanding shares as of the September 28, 2026 record date. Competition reviews in Australia, Cyprus, Germany and Morocco had been completed by October 13, according to a company filing.
