Australian Court Clears Steadfast Shareholder Vote on A$6-a-Share Takeover
Key Facts
The Supreme Court of New South Wales approved a Steadfast shareholder meeting and the distribution of the scheme booklet, clearing the way for a vote on the takeover offer. Under the agreement, Starboard BidCo will acquire all Steadfast shares for A$6 in cash per share, less any permitted distributions before closing. The Insurer put the company’s value at about A$7.7 billion, or about US$5.51 billion, at the time of the announcement on 21 August 2026. The court’s current approval covers the meeting and booklet; it is not final approval of the takeover or an announcement that it has been completed. Completion remains subject to a shareholder vote and subsequent court and regulatory steps.
The cash consideration represents a 51.9% premium to Steadfast’s unaffected closing share price of A$3.95 on 9 June 2026. Independent expert Kroll concluded that the share’s value on a control basis was between A$5.44 and A$6.09. The report said the scheme was in shareholders’ best interests in the absence of a superior proposal, while Steadfast’s board unanimously recommended voting in favour of the deal. The board made its recommendation conditional on no superior proposal emerging and the independent expert’s favourable view of the scheme remaining unchanged. The offer price therefore falls within Kroll’s valuation range, while exceeding the unaffected closing price cited in the deal details.
Starboard BidCo is acquiring the company under the scheme and is backed by Dragoneer Investment Group and KKR. After the deal is completed, Amwins Australasia will acquire Steadfast’s insurance agency business, while the buyer will retain its broking business. This divides the businesses between the operation of insurance agencies and ownership of the broking business after completion. The scheme booklet said the investors taking over the broking operations intend to run the business “largely in its current form.” It added that operations, management and staffing requirements would be reviewed after completion. These arrangements remain subject to implementation of the scheme and satisfaction of its conditions.
Steadfast’s broking and insurance agency networks operate in Australia, New Zealand, Singapore and the United States. The networks place about A$26 billion in gross written premiums annually, according to company data as of 30 June 2026. The figure covers broker and agency activity across the group’s networks, according to the company’s corporate description. The proposed arrangements may allow the broking business to continue largely in its current form, with operations, management and staffing reviewed after completion. The insurance agency business is due to transfer to Amwins Australasia when the deal is implemented. This operational division will not be completed solely through the court’s approval of the meeting, as other approvals and votes must precede implementation.
The scheme meeting will be held on Friday 27 November 2026 at 10 a.m. Australian Eastern Daylight Time. Only shareholders registered at 7 p.m. on Wednesday 25 November will be entitled to vote. Proxy forms must also be received by 10 a.m. that day. The scheme booklet said the buyer consortium began pre-engagement with the Australian Competition and Consumer Commission in the previous month, and that the commission had requested information that is being prepared. After the shareholder vote, the scheduled steps include a second court hearing on 1 December, with the scheme expected to become effective and be implemented during December, according to the indicative timeline in the news sidebar. The deal remains conditional on the vote and completion of the court and regulatory stages.
Steadfast may pay shareholders final distributions for fiscal 2026 and special distributions of up to A$0.20 per share before the deal is implemented. The announced consideration provides for any permitted distributions before closing to be deducted from the A$6 per share. The net amount shareholders receive at completion is therefore linked to distributions paid before implementation, within the limits and conditions set out in the scheme. The 27 November vote remains the next milestone for shareholders, followed by the second court hearing on 1 December. The effectiveness and implementation stages are scheduled for December under the indicative timeline, subject to the required approvals.
