On October 29, 2026, S&P Global Ratings revised its outlook on Navient to negative from stable, while affirming its long-term issuer rating at BB, short-term rating at B and unsecured debt rating at BB-. The decision changes the outlook surrounding the existing ratings, not the rating levels themselves. The agency linked its stance to growth constraints, a shift toward riskier assets and greater reliance on secured funding. It said higher unsecured funding costs could limit the company’s access to debt markets. The review comes as Navient prepares to carry out a reorganization that will separate the Earnest platform under a new holding-company structure.

On October 21, Navient announced plans to create Navient Holdings Inc. as a holding company for Navient LLC and E Parent Inc., the company associated with the Earnest platform; the plan was expected to be implemented during the fourth quarter of 2026. Under the new structure, nearly all existing assets and liabilities will remain in Navient LLC, while the Earnest lending platform will be separated into an independent subsidiary under the holding company. S&P said Navient LLC bondholders would have no claim on Earnest’s future assets in a hypothetical default because there are no guarantees between the entities. The agency expected Navient LLC to distribute most of its excess cash flow after debt service to fund Earnest’s growth and shareholder distributions at the holding company. It added that it did not expect capital flows to be ring-fenced between the new entities, making the destination of cash and sources of funding a key part of its assessment of the structure.

S&P said the group’s adjusted equity ratio would have been close to 8% without the reorganization, compared with 9% on June 30, 2026. In its previous review, dated September 18, the agency maintained a stable outlook, expecting the adjusted risk-based capital ratio to remain between 7% and 10% over the following 12 months. It noted then that operating expenses fell 51% in the first half of 2026 compared with the same period in 2024, while core earnings declined 47%. It also said outstanding FFELP loan balances provided predictable cash flows that gave the company time to execute its growth plan, as the earnings base continued to gradually shrink and execution risks remained. GAAP net income was about $25 million in the second quarter of 2026, compared with core earnings of $27 million under the company’s non-GAAP measure.

In its reorganization presentation filed with the U.S. Securities and Exchange Commission, Navient said legacy, non-strategic loan assets totaled $31.9 billion on June 30, 2026. The company estimated net cash sources at $12.0 billion, before overhead, taxes and unsecured debt service. The presentation showed that repayment of unsecured principal would consume $5.3 billion and interest would amount to $1.9 billion, leaving an estimated $4.7 billion in cash before overhead and taxes. These figures reflect the company’s projections presented to investors, while S&P focused on the effect of the growth strategy, funding mix and distribution of cash flows on the risks of the two entities. According to the company’s filing, existing shares will convert into shares of the new holding company on a one-for-one basis, with trading expected to continue under the NAVI ticker without interruption.

S&P expects the group to operate with an adjusted risk-based capital ratio between 7.0% and 10% over the 12-month outlook horizon, and to maintain sufficient liquidity for unsecured debt obligations and operating needs. The agency said it could lower the ratings over the next 12 months if Earnest failed to achieve sustainable profitability, Navient LLC’s liquidity came under pressure, or the adjusted risk-based capital ratio fell below 7.0%. Conversely, it could revise the outlook to stable if the company successfully executed its Earnest growth strategy, maintained a diversified funding mix and adequate liquidity, and kept the adjusted risk-based capital ratio above 7%. The agency thus made Earnest’s profitability, liquidity, funding and capital conditions for monitoring the ratings. Navient scheduled its third-quarter results for November 4, 2026, with the earnings call set to begin at 5 p.m. Eastern time.

Navient shares closed at $9.08 on October 29, compared with a close of $8.14 on October 28 and $8.42 on October 27, according to EL7 data. The close recorded on the day of S&P’s decision coincided with the outlook revision to negative, while the announced ratings remained at their previous levels. The trading data provided do not include a documented daily range for the stock, so the price change here is limited to recorded closing prices. Completion of the reorganization during the fourth quarter remains an important milestone in implementing the structure addressed in the agency’s review. The results scheduled for November 4 will give the company a near-term opportunity to report its financial performance.
