Kimberly-Clark announced on October 19 the pricing of a private offering of senior unsecured notes with total principal of $4.9 billion across five tranches. The company said the offering was expected to close on October 29, 2026, subject to customary closing conditions. The financing is part of arrangements to provide the cash consideration for the acquisition of Kenvue, as well as cover fees and expenses related to the deal. According to the company’s announcement, the offering is not contingent on completion of the acquisition, separating execution of the financing from whether the deal itself closes. The public announcement therefore sets an expected closing date for the offering, but does not confirm that it actually closed.

The notes have maturities from 2028 to 2036 and annual coupons ranging from 5.100% to 5.800%. The first tranche is $750 million with a 5.100% coupon due in 2028, and the second is $1 billion with a 5.300% coupon due in 2029. The third tranche totals $1.25 billion, carries a 5.450% coupon and matures in 2031, followed by $750 million with a 5.650% coupon due in 2034. The fifth tranche is $1.15 billion, with a 5.800% coupon and a 2036 maturity. The company is therefore raising financing across five maturities rather than concentrating the entire amount at a single repayment date.

Kimberly-Clark said it will use the net proceeds, together with available cash and/or borrowings under its commercial paper program, to fund the cash consideration for the Kenvue acquisition and pay related fees and expenses. Any remaining proceeds will be used for general purposes, it added. This places the notes at the center of the deal’s financing plan, while keeping available liquidity and commercial paper borrowings among the supporting funding sources. The company previously said it expected to complete the acquisition in the fourth quarter of 2026, subject to customary closing conditions. The deal is expected to close after the notes offering’s anticipated closing date of October 29, according to the timetable disclosed by the company.

The terms of the offering include a special mandatory redemption mechanism if the acquisition is not completed within the specified period, or if the company notifies the trustee that it will not pursue the deal. The period begins five business days after the later of May 31, 2027, and any later date agreed by the parties. If either condition is met, the company must redeem the outstanding notes at 101% of their aggregate principal amount, plus accrued and unpaid interest. The mechanism sets a redemption price if the deal fails to close and ties the obligation to a deadline that changes if an extension is agreed. The protection is part of the financing terms for the deal, while completion of the acquisition remains subject to customary closing conditions.

Kimberly-Clark announced its agreement to acquire Kenvue on November 3, 2025, valuing the enterprise at about $48.7 billion based on its share price at the close on October 31, 2025. The companies then estimated that the combined company would have annual revenue of about $32 billion and expected annual operating synergies of about $2.1 billion. This provides context for the scale of the deal for which cash financing is being arranged, without implying that those estimates have already been achieved. For near-term financial performance, the company projected in preliminary estimates published on October 15 net sales of $4.134 billion for the third quarter of 2026, compared with $4.150 billion in the same quarter of 2025. It also estimated organic sales growth at negative 1.3%, versus positive growth of 2.5% in the comparable period.

The company said on October 15 that its 2026 outlook remained consistent with its previous estimates and that it would release final third-quarter results on November 5, 2026. The outlook excluded the impact of any potential acquisition, including the Kenvue deal, according to the same disclosure. In trading, Kimberly-Clark shares closed at $108.4 on October 28, after closing at $112.32 on October 22. EL7 data also showed a close of $110.15 on October 23 and $109.1 on October 27. The final results are due on November 5, after the expected closing date for the bond offering, while the company has targeted the fourth quarter of 2026 for completion of the acquisition.
