ITOCHU to launch ¥215.2 billion tender offer to take DENTSU SOKEN private on November 2
Key Facts
ITOCHU and its entity G.K. VIC announced on October 30 that they would launch a tender offer to take DENTSU SOKEN private from November 2, after satisfying the prior conditions and completing the necessary regulatory approvals. The planned total value of the offer is up to ¥215.2 billion, and it aims to acquire a stake of up to 38.22% in the company. ITOCHU set the offer price at ¥2,880 per share, with the tender period scheduled to end on December 2 after 21 business days. The launch moves the plan announced on August 31 into the stage in which shareholders can tender their shares under specified terms. The company said in its announcement that it had decided to "launch the tender offer from November 2, 2026."
The offer sets no upper limit on the number of shares that can be acquired, but requires at least 9,340,400 shares to be tendered for the purchase to proceed. ITOCHU says reaching this minimum threshold would raise the combined ownership stake to 66.57%, according to its calculation. If fewer than the minimum number of shares are tendered, VIC will not purchase any shares under the offer terms. Dentsu Soken recommends that its shareholders tender their shares, while Dentsu Group has decided not to tender its stake. This means the offer allows the acquisition of shares held by other shareholders while keeping Dentsu Group's stake outside the tender.
The offer runs from November 2 to December 2 at ¥2,880 per share, with the period possibly extended to December 15 if Dentsu Soken requests an extension in its position statement. In that case, the offer period would increase to 30 business days, according to ITOCHU's schedule. On August 6, the company had considered a price of ¥2,780, a premium of 3.27% to the August 5 close of ¥2,692 and 30.27% to the July 1 close of ¥2,134. It then submitted a binding offer on August 10 at ¥2,880, a premium of 6.86% to the August 7 close of ¥2,695 and 34.96% to the July 1 close. ITOCHU kept the price at ¥2,880 in its final offer dated August 13, a premium of 6.75% to the August 12 close of ¥2,698.
The decision to launch the offer followed the completion of competition approvals in China on October 10, the European Union on October 15 and Japan on October 22. These approvals were among the prior conditions ITOCHU cited when announcing the tender offer. If the offer succeeds, Dentsu Soken will remain a consolidated subsidiary of Dentsu Group while also becoming a joint venture between the group and VIC. Dentsu Group said the company "will remain a consolidated subsidiary of the group, while also becoming a joint venture between it and VIC." The group expects Dentsu Soken's shares to be delisted after the prescribed procedures are completed.
The transaction is not intended to transfer ownership of Dentsu Soken to ITOCHU alone; the company said the final structure would leave Dentsu Group and VIC as the sole shareholders. If the offer does not acquire all targeted shares, VIC plans to complete procedures, including a share consolidation, to achieve that structure. Under the announced plan, Dentsu Group's shares will remain outside the offer, while Dentsu Soken recommends that its other shareholders tender their shares. Dentsu Group had described Dentsu Soken as a core company in its digital transformation and BX businesses in Japan. It said the partnerships would support long-term investment and the expansion of retail media services.
ITOCHU says the transaction aims to enhance Dentsu Soken's value, accelerate growth investments and expand business opportunities. It plans to combine the company's consulting and application development capabilities with ITOCHU's infrastructure, customer base and international network. The ITOCHU Group had 186 subsidiaries and 79 affiliates as of March 31, 2026. Dentsu Group also cited cooperation aimed at developing retail media services through the use of consumer purchase data and a network of stores. Plans include an alliance between Dentsu Soken and ITOCHU Techno-Solutions in technical infrastructure, operations and maintenance, alongside cooperation between Dentsu Inc., Data One and Gate One.
