Bouygues Writes Down TF1 Stake by €569 Million as Linear Advertising Declines
Key Facts
Bouygues said it will record a non-cash €569 million impairment of its stake in TF1 in its results for the first nine months of 2026. The amount represents the full goodwill associated with the stake, according to the group’s statement. The decision follows a sharp decline in linear advertising revenue for the fourth consecutive quarter, as the linear television advertising market contracts faster than Bouygues had expected. The impairment will appear in non-current results and reduce net profit attributable to the group. Bouygues said the adjustment does not change TF1’s strategic importance to the group.
After the impairment, the carrying value of the TF1 stake on Bouygues’ consolidated balance sheet will be €2 billion as of September 30, 2026. That equates to €9.67 per share, compared with €15.36 per share before the impairment. The difference reflects an accounting revaluation of the stake, while the €569 million amount represents all the goodwill recorded against it. Bouygues said the impact will be limited to net profit attributable to the group and non-current results. It also said the amount is not tax-deductible and will not affect current operating profit from activities, known as COPA.
Bouygues linked the impairment to declining linear advertising revenue, saying the sharp decline had continued for the fourth consecutive quarter. It added that the linear television advertising market is contracting faster than expected, pointing to pressures facing the traditional television advertising model. The group attributed structural shifts to changing content-viewing habits and advertising spending moving toward online platforms. It also cited the absence of a short-term improvement in the economic and political environment and the lack of a level regulatory playing field with platforms. These factors place the advertising decline in a broader context than a single weak advertising cycle.
TF1’s results for the first half of 2026 show a divergence between its traditional and digital advertising businesses. Advertising revenue was €714 million, down 8.7% year over year. By contrast, advertising revenue on the TF1+ platform was about €109 million, up 18.6% from the same period a year earlier. The divergence highlights growth in digital advertising alongside a decline in linear advertising, without offsetting the effect of weakness in the traditional business on the group’s performance. TF1’s total revenue in the first half was €993.4 million, down 10% from the first half of 2025.
TF1 said the structural decline in the linear advertising market was compounded by instability among advertisers linked to the conflict in the Middle East. That adds pressure to a market already facing lower traditional advertising revenue. The company said the contraction also came amid exceptional competitive pressure in June due to the FIFA World Cup. TF1 cited these factors in the context of its first-half results, while Bouygues linked the impairment of its stake to the continued decline in linear advertising and the market’s faster-than-expected contraction. Despite the adjustment, the group said it remains confident in TF1 management’s ability to continue the digital transformation and adapt to changing viewer and advertiser behavior.
Bouygues said the impairment will not affect the group’s net debt, liquidity or investment capacity, nor its current operating profit from activities. The impact identified by the group will therefore be on net profit attributable to it, with the amount recorded in non-current results and not tax-deductible. Bouygues shares, trading under the ticker BOUYY, closed at $9.18 on October 29, 2026, according to EL7 data. The group is due to publish its results for the first nine months of 2026 on November 5. The results will provide the next opportunity to see the impairment’s recorded impact in the period’s accounts.
