Bambusa Raises $168,888,880 in Upsized Offering Priced at $16 per Share
Key Facts
Bambusa Therapeutics priced its upsized initial public offering at $16 per share, selling 10,555,555 shares for expected gross proceeds of $168,888,880 before underwriting commissions and other expenses, according to the company’s announcement on October 29, 2026. The offering will fund continued development of its drug candidates, based on the allocation of proceeds disclosed in its prospectus. Bambusa also granted underwriters a 30-day option to purchase up to 1,583,333 additional shares at the offering price, less underwriting commissions. The registration statement estimates net proceeds of about $134.9 million, or $155.8 million if the underwriters exercise the option in full, based on an assumed price of $16 per share. Trading was expected to begin on Nasdaq on October 30 under the ticker BBTX, with the offering set to close on November 2, subject to customary conditions.
The company plans to allocate about $90 million to its lead candidate, BBT001, including the start of a planned Phase 2b study for atopic dermatitis. It also plans to allocate about $40 million to developing BBT002, including the start of an expected Phase 2b trial in a respiratory disease area. The prospectus says activities to start a dose-finding study of BBT001, in a formulation administered subcutaneously to patients with moderate-to-severe atopic dermatitis, are scheduled by the end of 2026. The company has already dosed the first patient in a 12-week proof-of-concept sub-study of the same formulation in patients who have not previously received biologic therapies. BBT002 targets chronic obstructive pulmonary disease, chronic rhinosinusitis with nasal polyps and asthma; it is a bispecific antibody targeting IL-4Rα and IL-5, according to the registration statement.
Bambusa describes itself as a clinical-stage biotechnology company, while its two most advanced candidates, BBT001 and BBT002, remain in early clinical development. The company has not received approval to market any product and had generated no revenue from product sales or royalties as of the disclosure date. In July 2026, it announced positive topline proof-of-concept results for intravenous BBT001 in patients with moderate-to-severe atopic dermatitis who had not previously received biologic treatment. At Week 6, the results showed placebo-adjusted response rates of 82% for EASI-50 and 64% for EASI-75. The prospectus said 17 patients were evaluable for safety and initial clinical response as of the June 8, 2026 data cutoff, with a median follow-up of 71 days after the first dose. The company cautioned that interim results may change as enrollment and follow-up continue, and that final data may differ from preliminary or interim results.
The company is studying BBT001 in a global Phase 1 trial for atopic dermatitis, alongside a Phase 2a trial in China for chronic spontaneous urticaria. Bambusa expects additional proof-of-concept readouts for the candidate in the first half of 2027. These include results from 12-week sub-studies in patients with atopic dermatitis and results from a 14-week study in patients with chronic spontaneous urticaria. The program is part of a pipeline whose remaining candidates are still in preclinical or nonclinical stages, according to the company’s disclosure. The upcoming readout schedule places the use of offering proceeds in the context of specific programs and their announced clinical timelines.
Bambusa had about $57.2 million in cash, cash equivalents and marketable securities on September 30, 2026, according to preliminary figures in the prospectus. The company said this balance alone is not expected to fund its operations for at least 12 months from the date the offering’s financial statements are made available. However, it estimated that net offering proceeds, together with existing cash and short-term investments, would fund operating expenses and capital expenditures through late 2028, based on its current plans, while cautioning that its assumptions may prove incorrect. The company recorded a net loss of $22.4 million in the six months ended June 30, 2026, compared with $14.7 million in the same period of 2025, and had an accumulated deficit of $77.2 million at the end of June. Before the offering, it had raised $136.1 million in private financing proceeds through June 30, 2026.
