Agility Robotics and Churchill Capital XI are approaching a key milestone in their merger, with Churchill calling a shareholder vote on the deal for Nov. 2, 2026, after the joint registration statement became effective on Oct. 13. The step comes ahead of an expected November closing, according to an Agility disclosure, with completion of the timetable contingent on shareholder approval and satisfaction of closing conditions. The deal had previously been projected to generate gross proceeds of more than $620 million, rather than the amount in the initial news draft. Those proceeds include cash in Churchill’s trust account and additional financing, assuming shareholders do not redeem their funds from the account. The November vote is the near-term test that will determine whether the deal moves from registration to closing.

The previous disclosure detailed the expected financing components: about $424 million in Churchill’s trust account, assuming no shareholder redemptions, and about $200 million in additional PIPE financing. This estimate updates figures in the June announcement, when the trust account balance was estimated at about $420 million under the same assumption. The PIPE financing was committed at $10 a share, led by Foxconn, according to the initial announcement. The companies valued Agility at about $2.5 billion before the deal when they announced the merger agreement in June 2026. These figures provide the framework for the announced deal, while its completion remains subject to a shareholder vote and closing conditions.

Agility says the purpose of the deal proceeds is to fulfill existing customer orders, expand commercial deployment, increase Digit 5 production and continue investing in its integrated platform. The company said contracted multiyear orders for Digit 5 exceeded $300 million as of Oct. 26, subject to contractual milestones and specified conditions. It also said existing deployment commitments cover nine customer facilities and that it aims to raise the number to as many as 25 by the end of 2027. On Oct. 26, it announced an expanded relationship with GXO and three additional customers in the manufacturing sector, and said its active pipeline includes more than 30 prospective customers. These commitments indicate the scale of commercial activity the company is seeking to convert into actual deployment and production.

The deployment plans are tied to the manufacturing capacity the company has built: it said its RoboFab facility is designed to produce as many as 10,000 robots a year. Agility said earlier generations of Digit had logged more than 65,000 hours of real-world operation as of Oct. 13, 2026. It also reported signing a commercial agreement with Toyota Motor Manufacturing Canada after a successful pilot to deploy Digit in manufacturing, supply chain and logistics operations. The company aims to make Digit 5 available to early customers in the first half of 2027, then reach general availability by the end of that year. These dates link expanded production with a shift from trials and commitments to broader customer use.

After the deal closes, Agility expects the combined company to trade on Nasdaq under the ticker AGLT. The available disclosure, however, places the closing generally in November 2026 and does not confirm the Nov. 4 and Nov. 5 dates cited in the initial draft. Churchill shareholder approval at the Nov. 2 meeting and satisfaction of closing conditions remain the next announced milestones. In parallel, Agility said it aims to increase deployment commitments from nine facilities currently to as many as 25 by the end of 2027, while Digit 5 deliveries to early customers are due to begin in the first half of that year. The deal is therefore awaiting the shareholder vote before moving to closing and the planned listing.
