IIFL Capital has launched a potential block deal in Sagility shares worth up to $249.6 million, or about 2,377 crore rupees, according to a Moneycontrol report published on October 29, 2026. Sagility B.V., the company’s promoter shareholder, is expected to sell about 12% of the total shares. The report estimated the offer price at about 42.45 rupees per share, but this is a potential price, not a confirmed final execution price. That price represents a 4.94% discount to the stock’s October 29 close, according to Moneycontrol. The proposed deal puts the promoter shareholder’s stake in focus, while second-quarter results showed growth in revenue and reported profit.

Sagility B.V. held 50.95% of the company’s shares as of September 2026, after selling 16.43% in a block deal in November 2025, according to Moneycontrol. The earlier sale marked a step that reduced the promoter’s stake to the level recorded in September, while the new potential deal proposes the sale of about 12% of the total shares. The proposed deal comes less than a year after the earlier sale, which Moneycontrol cited as background to the current transaction. The information reported here does not specify the stake that would remain with the shareholder after the potential sale is completed. Nor does it provide a confirmed execution price or final details on closing the deal.

Sagility reported operating revenue of 20,321 million rupees in the second quarter of fiscal 2027, up 22.5% year on year, according to its results statement. Revenue for the first half of the fiscal year rose to 39,956 million rupees, up 25.0% from the corresponding period. Reported net profit for the second quarter was 2,842 million rupees, compared with 2,508 million rupees in the same quarter of the previous fiscal year, an increase of 13.3%. Reported profit grew at a different pace from revenue, while adjusted profit after tax was 3,254 million rupees, up 8.1% year on year. The results provide an operating comparison alongside the promoter shareholder’s proposed market move.

Adjusted earnings before interest, taxes, depreciation and amortization were 5,353 million rupees, with a 26.3% margin and 23.0% year-on-year growth in the second quarter, according to the company statement. The CFO said the adjusted margin reached its highest level in six quarters and that the company was entering the seasonally stronger second half. Management attributed its performance to “disciplined execution, operating leverage and delivery efficiency,” factors it said supported the margin. It also pointed to broad-based strength across the business and growth in large-deal opportunities and AI solutions. The CEO said the “pipeline is good, with larger deals and a growing set of opportunities with Blues plans and mid-market plans,” adding that AI solutions are gaining momentum.

On contracts, Sagility said it won deals with an annual value of $40.2 million in the second quarter, from 31 existing clients and one new client. The company added 28 client groups in the first half of fiscal 2027, taking the total number of active client groups to 105. These figures put customer and contract wins alongside quarterly revenue growth, while the CEO said the pipeline includes larger deals and growing opportunities with Blues and the mid-market. On shareholder returns, the board approved an interim dividend of 0.15 rupees per share, up from 0.05 rupees in the previous interim dividend. The board set October 30, 2026, as the record date, with payment due no later than November 21, 2026.

The CEO said the company’s priority in the second half is “disciplined execution during the annual enrollment and open enrollment period,” alongside investment in capabilities that support growth. According to the CFO, the company is entering the second half, which he described as seasonally stronger, after adjusted earnings margins reached their highest level in six quarters. Management is focusing on execution through the annual enrollment and open enrollment seasons while continuing to invest in capabilities. This follows first-half results that recorded revenue growth and coincides with the announcement of contracts won and an expansion in the base of active client groups. The announced interim dividend is scheduled to be paid by November 21, 2026.
