Quanome Announces Commitment of About $100.9 Million for AI Computing Services
Key Facts
Quanome Technologies’ new deal is based on committed fees of about $100.9 million over 60 months in exchange for dedicated computing capacity for AI inference. Its subsidiary XDT Infrastructure I signed the services agreement with XPERT SOFTWARE SOLUTIONS PTE. LTD., according to a Quanome filing with the U.S. Securities and Exchange Commission. The commitment term begins when the service is ready, not when the agreement is signed, and fees are paid monthly. XDT intends to allocate most of the advance payment to purchasing servers and building the required capacity. The contract value is therefore tied to execution and service delivery over the term of the agreement, and does not represent revenue realized immediately.
The agreed advance payment is about $45 million, payable in two tranches tied to server-purchase milestones. The 8-K report dated October 5, 2026, said neither tranche was due or paid as of the report date. The deal terms show that the funding is tied to securing equipment and preparing capacity, not merely to signing a customer contract. Monthly fees are also fixed throughout the commitment term and do not decrease if the customer uses less than the agreed capacity. This condition obligates the customer to pay for reserved capacity even when its use is lower.
Preparing the service requires the purchase of 32 additional servers from Compal Electronics for about $18.8 million, under a purchase agreement dated September 29, 2026. The servers will be delivered to a data center in the United States after the relevant conditions are met. The agreement calls for payment of 20% of the purchase price after receipt of the supplier’s written order acknowledgment, followed by the remaining 80% after confirmation of shipping readiness and before shipment. The company’s spending is thus spread across the ordering, preparation and shipping stages. Quanome announced the customer contract on October 8 and said the agreement represents XDT’s first business contract and the next phase in developing its AI computing business.
In an October 8 statement, the company expected service to begin in about two months, subject to meeting the requirements for starting operations. Implementation timing depends on infrastructure availability and deployment, supplier and data-center performance, as well as contractual conditions and customer needs, according to company disclosures. It also warned of risks related to financing, production and delivery, regulatory requirements, and technical and operational matters, which could affect completion of the arrangements or XDT’s ability to provide the service. Quanome’s results for the fiscal year ended June 30, 2026, showed revenue of $5,850,681, compared with $2,762,465 in the prior year; those results relate to continuing operations and do not include the new contract. In the market, QNME shares closed at $0.4395 on October 28, up from $0.3764 on October 27, after closing at $0.4427 on October 22, $0.4097 on October 23 and $0.4152 on October 26.
