CID HoldCo, which does business as Dot Ai and trades on Nasdaq under the ticker DAIC, said it believes its acquisition of Envoy Technologies satisfied the $2.5 million shareholders’ equity requirement for continued listing on the Nasdaq Capital Market. In a filing attached to its report to the U.S. Securities and Exchange Commission, the company said it would present evidence to the Nasdaq hearing panel in support of its position. Continued listing remained subject to the panel’s confirmation, so the filing was not an announcement of final approval or a resolution of its listing status. Dot Ai linked its belief that it had met the requirement to the completion of the Envoy deal, which was completed in October as a stock swap. The company valued the transaction at about $65 million based on an agreed reference price of $6.00 per Dot Ai share.

The acquisition followed a compliance process the company presented to Nasdaq at a hearing held on September 15, 2026. Dot Ai said in its annual report that it had submitted a plan to address previous deficiencies, including a requirement for at least $50 million in market value of listed securities, a minimum of $15 million in market value of publicly held shares, and its late quarterly report for the period ended June 30, 2026. The company then filed its quarterly report with the SEC on September 25 and said this remedied the filing deficiency. The shareholders’ equity requirement remained part of the matter before the panel, while the company said the Envoy deal strengthened its position on that issue. It submitted preliminary unaudited financial statements and projections to the panel that it said support meeting the requirement after the deal and maintaining compliance through September 30, 2027.

Envoy had moved to BladeRanger before the Dot Ai deal; Blink Charging disclosed its sale on June 5, 2026, as part of a strategy to focus resources on its core electric vehicle charging business. BladeRanger closed the sale of Envoy to CID HoldCo on October 9, according to a Blink filing. Envoy provides app-based electric vehicle sharing, allowing residents and guests to book vehicles by the hour or day at residential complexes, hotels, resorts and college campuses. Envoy handles vehicle insurance, maintenance and day-to-day operations, according to a Dot Ai statement. The deal thus transferred a business Blink had sold as part of its operational focus to a company that said it plans to expand the service’s reach.

Dot Ai said the acquisition followed the settlement of its senior secured debt and the completion of new working capital financing in September 2026. Commenting on the closing, the company said the deal “addresses the shareholders’ equity requirement Nasdaq has before us” and gives it a platform for growth. That remains the company’s position, while continued listing depends on confirmation from the hearing panel. It also said Envoy’s $12.5 million convertible note remained outstanding after the deal closed, with amendments made at closing. The filing states that the note will convert into Dot Ai common shares upon satisfaction of the relevant conditions.

Conversion of the securities tied to the deal is subject to conditions and subsequent approvals, including shareholder approval for the issuance of common shares upon conversion of the Series C preferred shares, as well as the effectiveness of a resale registration statement. The company said the parties agreed to use their best reasonable efforts to obtain the required approval by January 31, 2027. After the conversions, BladeRanger is expected to own a majority of Dot Ai’s common shares on an as-converted basis, subject to the stated restrictions and approvals. Dot Ai’s announced operational steps include expanding Envoy’s fleet and the range of properties it serves in the United States, including residential complexes, hotels and college campuses. The company said it is targeting expansion over time into selected international markets, as it awaits a Nasdaq panel decision on its listing matter.
