JELD-WEN, Inc. has launched an offer to exchange all of its 4.875% senior notes due 2027, with $400 million of principal outstanding, for new first-lien secured notes due 2031, according to an announcement by parent company JELD-WEN. The offer gives noteholders different consideration options depending on when they tender and whether they participate in new financing. At the same time, the company launched a Dutch auction for its term loans as part of a broader debt refinancing arrangement. The company announced an agreement in September aimed at extending near-term maturities and raising additional financing. Its shares closed at $1.36 on October 28, according to EL7 data.

Noteholders who tender by the early deadline, set for November 10, 2026, will receive $1,000 in principal of the new notes for every $1,000 of old notes, if they participate on a qualifying basis in the new financing offer. Those who do not participate in the financing or do not fund their allocation will receive $930 in principal of the new notes for every $1,000 of old notes under the early consideration. The consideration falls to $880 for every $1,000 for noteholders who tender after the early deadline and by the offer’s scheduled expiration on November 27, 2026. This means the announced consideration varies according to adherence to the timetable and participation in the financing, not solely the notes’ maturity. The offer sets these amounts on a principal basis, and the available information does not state any additional cash consideration.

The new financing offer allows for the purchase of up to $410.2 million in principal of the new notes. The financing will be allocated among eligible participants on a pro rata basis, while participation requires tendering all old notes for exchange. The terms of the new notes provide for an option with an annual interest rate of 10.5%, paid entirely in cash. Alternatively, holders may choose a total annual interest rate of 11.5%, with at least 9% paid in cash and up to 2.5% added to principal. Interest will be paid semiannually, under the issuance terms announced by the company.

The company is asking noteholders to tender their notes with their consents, allowing amendments to the existing indenture. The proposed amendments include removing most restrictive covenants and certain default provisions and events from the indenture. The company said holders of about 94.5% of the notes’ principal had already agreed to tender and consent to the amendments by the early deadline. Holders of about 70% of the notes’ principal also committed to purchase their allocation of the new notes, according to the announcement. These prior commitments indicate the level of participation the company said it had secured when the offer launched, while the exchange terms remain subject to completion of the offer procedures.

In parallel, the company opened a Dutch auction for its term loans, allowing lenders to sell outstanding loans for 86% of principal in cash. Lenders may instead accept 100% of the loan principal in new notes or new first-lien loans due 2031, at the company’s election. JELD-WEN said lenders representing about 72.2% of the outstanding loan principal had agreed to participate in the auction and to amendments that include giving the new loans priority in repayment and security. The transaction thus combines a note exchange, a financing offer and a proposal to amend the loan terms. The available information does not specify the final proceeds from any of the options or whether the conditions for completing them have been met.

The plan stems from an agreement JELD-WEN announced on September 29, 2026, saying it expected to extend the maturities of its 2027 notes and 2028 loans to 2031 and raise $135 million in new debt financing. In a statement on that agreement, Chief Executive William J. Christensen said, "Addressing near-term maturities and strengthening our balance sheet have been key priorities for JELD-WEN," adding that the agreement provides additional capital and greater financial flexibility. That earlier announcement explains the goal of the September agreement as described by management, while the company has not described the current exchange offer as having a similar separate objective. The October offer provides details of the note exchange and parallel loan auction, with tender deadlines ending in November 2026. The campaign’s and lenders’ next steps remain tied to those deadlines and completion of the announced participation conditions.
